Requirements for training. The Supplier shall give the necassary information / training related to the pharmaceutical drug before the Customer use, produce or in other ways make use of the pharmaceutical drug, cf. 8.1. The necassary information / training shall include a summary of those clinical and pre-clinical data relating to the pharmaceutical drug that is of relevance (according to «Investigator´s Brochure» and «Pharmacy Manual»), for example any safety measures that must be taken in connection with the storage, handling, manufacture and use of the pharmaceutical drug. If the Supplier fail to give the necassary information / training relating to the pharmaceutical drug, in accordance with the information avilable at the time of the conclusion of the Framework Agreement, the Supplier may be held liable for any damage or financial loss incurred by the Customer. Meeting activities shall be conducted in accordance with the guidelines of the Customer and in accordance with the cooperation agreements as mentioned in section 3.

Requirements for training. The Supplier shall assist with the necessary training of the personnel of the Customer, the Hospital, and the Hospital Pharmacy(ies) as further described in Appendix 3 (Supply Agreement). Training shall be arranged at a time that would allow the Customer to use the Agreed Products from the start date of the Agreement. The Supplier shall also assist with the necessary training of the personnel of the Customer, the Hospital, and the Hospital Pharmacy(ies) in case of any changes that may affect handling, storage, receipt, and distribution of the Agreed Product. Meetings related to training shall be conducted in accordance with the Customer’s guidelines and the cooperation agreements as set out in Section 1.3.
Requirements for training. All fund sources, with the exception of loans, will be considered in determining an individual’s need for WIOA funds. The exact mix of funds will be determined based on the availability of funding for training costs and supportive services. You are required to apply for Federal financial aid annually. Provide your WIOA Career advisor with documentation indicating submission of financial aid forms and a copy of the award or denial letter annually. Students enrolled in training need to have full-time status. As you progress in your curriculum program, there may be times when a full-time load can not be taken due to classes that have already been taken or due to classes not offered for the semester. In this case, a letter can be obtained from your advisor verifying that those are the only classes available for you to take for the semester. Remember that WIOA is training based on individual needs and services and this will be dealt with on a case by case basis. Attend classes at your training institution on a regular basis. Attendance sheets must be turned in on a bi-weekly or monthly basis. Travel vouchers need to be turned in according to the date specified by your WIOA Career Advisor.

  • Requirements for Transfer (a) This Warrant and the Warrant Shares shall not be sold or transferred unless either (i) they first shall have been registered under the Securities Act of 1933, as amended (the "Act"), or (ii) the Company first shall have been furnished with an opinion of legal counsel, reasonably satisfactory to the Company, to the effect that such sale or transfer is exempt from the registration requirements of the Act. (b) Notwithstanding the foregoing, no registration or opinion of counsel shall be required for (i) a transfer by a Registered Holder which is a corporation to a wholly owned subsidiary, parent or affiliate of such corporation, a transfer by a Registered Holder which is a partnership to a partner of such partnership or a retired partner of such partnership or to the estate of any such partner or retired partner, or a transfer by a Registered Holder which is a limited liability company to a member of such limited liability company or a retired member or to the estate of any such member or retired member, provided that the transferee in each case agrees in writing to be subject to the terms of this Section 4, or (ii) a transfer made in accordance with Rule 144 under the Act. (c) Each certificate representing Warrant Shares shall bear a legend substantially in the following form: "The securities represented by this certificate have not been registered under the Securities Act of 1933, as amended, and may not be offered, sold or otherwise transferred, pledged or hypothecated unless and until such securities are registered under such Act or an opinion of counsel satisfactory to the Company is obtained to the effect that such registration is not required." The foregoing legend shall be removed from the certificates representing any Warrant Shares, at the request of the holder thereof, at such time as they become eligible for resale pursuant to Rule 144(k) under the Act.

  • Funding for Training (a) In furtherance of the objectives of clause 33 hereof, and as a further initiative to enhance the employment and career opportunities of the Employees, the Parties to this Agreement will continue to facilitate on- going training to improve OHS in the industry and to improve Employees’ work skills so as to advance progression to higher industry skill levels. (b) To support the cost of these training initiatives the Employer will make a payment per Employee per week as per the table below. Such monies will be paid into Incolink to support Incolink’s continued training funding initiatives. 1 July 2024 $12.50 1 October 2025 $13.50 1 October 2026 $16.00 1 October 2027 $18.50 Provided that the Incolink arrangements are appropriately ordered so as to provide for: (i) joint employer/Union management of the training funding; (ii) access to funding in accordance with agreed guidelines, by all participating employers and unions. (c) In the event of Incolink being unable to provide the above arrangements, the Parties to this Agreement agree to establish an alternative mechanism with the intention of meeting the commitments expressed in clause 25.11(b) above. (d) The liability of the Employer to pay for the cost of training courses they approve in accordance with clauses 15.8 and 33, will be met by the making of the contributions on behalf of each Employee as required by this clause.

  • Requirements for Protection In compliance with NPCC requirements and Good Utility Practice, Developer shall provide, install, own, and maintain relays, circuit breakers and all other devices necessary to remove any fault contribution of the Large Generating Facility to any short circuit occurring on the New York State Transmission System not otherwise isolated by Connecting Transmission Owner’s equipment, such that the removal of the fault contribution shall be coordinated with the protective requirements of the New York State Transmission System. Such protective equipment shall include, without limitation, a disconnecting device or switch with load- interrupting capability located between the Large Generating Facility and the New York State Transmission System at a site selected upon mutual agreement (not to be unreasonably withheld, conditioned or delayed) of the Developer and Connecting Transmission Owner. Developer shall be responsible for protection of the Large Generating Facility and Developer’s other equipment from such conditions as negative sequence currents, over- or under-frequency, sudden load rejection, over- or under-voltage, and generator loss-of-field. Developer shall be solely responsible to disconnect the Large Generating Facility and Developer’s other equipment if conditions on the New York State Transmission System could adversely affect the Large Generating Facility.

  • Eligibility Requirements for Trustees The Trustee hereunder shall at all times be (i) an institution insured by the FDIC, (ii) a Corporation organized and doing business under the laws of the United States of America or of any state, authorized under such laws to exercise corporate trust powers, having a combined capital and surplus of not less than $50,000,000 and subject to supervision or examination by federal or state authority and (iii) acceptable to the Rating Agencies. If such Corporation publishes reports of condition at least annually, pursuant to law or to the requirements of any aforementioned supervising or examining authority, then for the purposes of this Section 8.06, the combined capital and surplus of such Corporation shall be deemed to be its combined capital and surplus as set forth in its most recent report of condition so published. The Delaware Trustee hereunder shall at all times have its principal place of business in the State of Delaware and shall satisfy the applicable requirements under the laws of the State of Delaware authorizing it to act as the Delaware trustee of the Trust. In case at any time the Trustee or the Delaware Trustee shall cease to be eligible in accordance with the provisions of this Section 8.06, such trustee shall resign immediately in the manner and with the effect specified in Section 8.07.

  • SERVICE REQUIREMENTS FOR REFERRED CLIENTS A. Agent agrees to respond to any communications from a Referred Client within two (2) hours after receipt if such communication is received between 9:00am to 5:00pm local time. For communications received outside of these hours, Agent agrees to respond by 10:00am the next day. B. Agent agrees to update XXXX.xxx with status updates within 48 hours after initial communication with a Referred Client and upon every significant status change until closing or abandoned. Updates shall be made by Agent via email to xxxxxxxxxxxx@xxxx.xxx. C. Vacations or extended absences shall be reported, with length of pause, to XXXX.xxx via email to D. Agent will not add Referred Client to any email list or calling list without the express permission of Referred Client. E. Agent agrees XXXX.xxx has the right to survey the Referred Client at any time. F. If Agent is contacted by a Referred Client that Agent is unwilling or unable to assist, Agent shall direct such Referred Client back to XXXX.xxx for assistance and notify XXXX.xxx at xxxxxxxxxxxx@xxxx.xxx. G. Agent agrees that XXXX.xxx has no obligation to provide Agent with any number of referrals and that prospective clients are free to select the agent they wish to work with for any particular real estate transaction.

  • Training Requirements Grantee shall: A. Authorize and require staff (including volunteers) to attend training, conferences, and meetings as directed by DSHS; B. The practical training provided in the frame of maintenance training will be performed on the training devices in use in the Seller’s Training Centers.
