Research Coordination. The parties acknowledge that each of the P&U Agreement and the KH Agreement includes separate research plans under which each of the parties is required to perform certain work. A portion of such work to be performed by Geron, including basic research relating to the telomerase enzyme and the discovery of Geron Compounds, is common to each Collaboration. The parties shall attempt to coordinate their activities so that such common work may be performed by Geron in an efficient manner for the benefit of all parties. Subject to the restrictions set forth in Section 3.2 below, the parties intend to permit Geron to freely disclose all Geron Knowhow to each of KH and P&U. Geron represents that its accounting to each of P&U and KH of its expenditures for such research work shall fairly allocate costs to each Collaboration and no such costs shall be duplicated.

Research Coordination. Each of BI and Regulus shall appoint a qualified individual to serve as the primary point of contact for the other Party (the “Contact”) in all matters related to the Research. Such Contact shall be responsive to the other Party’s reasonable questions and requests and shall facilitate broader discussions between the Parties related to the Research. The Contact shall be responsible for explaining or supplementing the Report or the Final Report.

In particular, the Project Coordinator shall be responsible for: preparing the meetings, proposing decisions and preparing the agenda of Project Committee chairing the meetings, preparing the minutes of the meetings and monitoring the implementation of decisions taken at meetings; monitoring compliance by the Participants with their obligations; keeping the address list of Members and other contact persons updated and available; collecting and reviewing information on the progress of the Project and submitting outline scientific reports and other deliverables (including financial statements and related certification), if required, to Stichting LSH-TKI and other Participants; transmitting promptly documents and information connected with the Project; administration of the Budget and fulfilling the financial tasks, all as described in Article 7; providing, upon request, the Participants with official copies or originals of documents which are in the sole possession of the Project Coordinator when such copies or originals are necessary for the Participants to present claims. The Project Coordinator shall not be entitled to act or to make legally binding declarations on behalf of any other Participant.

  • Cooperation and Coordination The Parties acknowledge and agree that it is their mutual objective and intent to minimize, to the extent feasible and legal, taxes payable with respect to their collaborative efforts under this Agreement and that they shall use all commercially reasonable efforts to cooperate and coordinate with each other to achieve such objective.

  • Care Coordination The Parties’ subcontract shall require that the Enrollee’s CP Care Coordinator provide ongoing care coordination support to the Enrollee in coordination with the Enrollee’s PCP and other providers as set forth in Section 2.6.

  • Utility Coordination Identify all potential utility conflicts and provide preliminary office check plans showing the problem locations, posted to the City’s FTP site. Plans will clearly identify specific utility company facilities by color and by name (i.e. not just “gas” or “fiber optic”). ENGINEER shall include a conflict list for each utility, also posted to the FTP site. ENGINEER shall meet with utility company representatives to review plans and utility verification forms (Attachment No. 3 to Exhibit “A”) at each milestone date and as directed by the CITY and as determined necessary by the ENGINEER. This in- formation will be compiled into a summary report (Attachment No. 4 to Exhibit “A” also available on the City’s FTP site) maintained and updated by ENGINEER as necessary to present a cohesive and reflective status of utilities, and provided to the City as necessary. ENGINEER shall maintain involvement with utility companies until all conflicts have been resolved (not just identified). When appropriate, the City Engineer will approve the identification on plans of conflicts to be resolved during construction. ENGINEER shall meet with involved utility company/ies and project contractor to resolve any conflicts with utilities that occur during construction.

  • Service Coordinators Each Party has designated an employee or title as the key contact for the day-to-day implementation or monitoring of each Service as specified in the applicable Transition Service Schedule (each, a “Service Coordinator”). The Parties shall direct communications relating to specific Services to the applicable Service Coordinators. The Service Coordinators shall report to the Transition Committee from time to time, as directed by the members of the Transition Committee designated by the applicable Party.

  • Project Team County’s Designated Representative for purposes of this Agreement is as follows: County shall have the right, from time to time, to change the County’s Designated Representative by giving A/E written notice thereof. With respect to any action, decision, or determination which is to be taken or made by County under this Agreement, the County’s Designated Representative may take such action or make such decision or determination or shall notify A/E in writing of an individual responsible for, and capable of, taking such action, decision, or determination, and shall forward any communications and documentation to such individual for response or action. Actions, decisions or determinations by County’s Designated Representative on behalf of County shall be done in his or her reasonable business judgment unless express standards or parameters therefor are included in this Agreement, in which case, actions taken by County’s Designated Representative shall be in accordance with such express standards or parameters. Any consent, approval, decision, or determination hereunder by County’s Designated Representative shall be binding on County; provided, however, County’s Designated Representative shall not have any right to modify, amend, or terminate this Agreement or executed Supplemental Agreement. County’s Designated Representative shall not have any authority to execute a Supplemental Agreement unless otherwise granted such authority by the Williamson County Commissioners Court. A/E shall have the right, from time to time, to change A/E’s Designated Representative by giving County written notice thereof. With respect to any action, decision, or determination which is to be taken or made by A/E under this Agreement, A/E’s Designated Representative may take such action or make such decision or determination, or shall notify County in writing of an individual responsible for and capable of taking such action, decision, or determination and shall forward any communications and documentation to such individual for response or action.   • Coordination of Work Licensee shall be responsible for coordination of its Equipment installation work to avoid any interference with existing utilities, substructures, facilities and/or SFMTA transit operations. Licensee shall be the City's point of contact for all Equipment installation and except in case of emergency, all communications concerning Equipment installation shall be through Licensee's field representatives.
