Resignation and Renewal. Subject to Articles 5.2.1 and 5.2.2 and except for the case of ▇▇. ▇▇▇▇▇▇ Loumaye, if one Director resigns, is removed or for any other reason ceases to serve as a Director, the Shareholder(s) who originally designated such Director shall have the right to designate the successor of such person, and provided they designate a successor within 20 (twenty) Business Days after the predecessor ceased to serve as a Director, the other Directors shall not take any action, whether at a meeting of the Board of Directors or otherwise, until such successor has been elected as a Director.
