Results of Project. Sphaera Pharma will conduct the Services in accordance with generally-accepted professional standards of workmanship and effort. NEITHER PARTY MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND HEREBY DISCLAIMS ALL SUCH WARRANTIES AS TO ANY MATTER WHATSOEVER, INCLUDING, WITHOUT LIMITATION, WARRANTIES WITH RESPECT TO: (a) THE PROJECT AND ANY RESULTS OF THE PROJECT; (b) DATA, REPORTS, INFORMATION OR RESEARCH PROVIDED BY SPHAERA PHARMA OR COMPANY; AND (c) ANY INVENTION OR PRODUCT, OR OWNERSHIP THEREOF, WHETHER TANGIBLE OR INTANGIBLE, TESTED, CONCEIVED, DISCOVERED, OR DEVELOPED IN THE PROJECT OR IN CONNECTION WITH CONDUCTING THE PROJECT UNDER THIS AGREEMENT.

Results of Project. 2.1.1 If the results of investigations are such that intellectual property rights could be secured through legal instruments that is, [patents/designs/trademark/copyright] then INSTITUTE shall apply, secure and maintain the rights. The decision of Director of the INSTITUTE on whether or not intellectual property rights should be sought and the territory where these shall be secured shall be final and binding on the CONTRACTING PARTY/the ownership of intellectual property rights shall vest in the COUNCIL. 2.1.2 The CONTRACTING PARTY shall not file any application for seeking intellectual property rights in its own name or in the name of its associates or any other person on any matter relating to the information disclosed to it by INSTITUTE. The CONTRACTING PARTY shall not also oppose or direct of cause any person to oppose any application seeking intellectual property rights relating to the PROJECT filed by the INSTITUTE. 2.1.3 The parties shall consult each other for any publication in respect of the PROJECT. Sponsor understands that all research is experimental in nature and that the outcome of the Project is inherently uncertain and unpredictable. Results of Project. Even during the short (3 year) project period, the watershed has shown recovery that has reduced sediment and been beneficial to water quality. Since the second year of this project Red Rock Creek has run clear during the summer rains as opposed to clouded with sediment prior to the project. The Forest Service has upgraded the condition of the Riparian area to “fully functional” using their Proper Functioning Condition rating criteria. Diversity of riparian vegetation has improved to include deer grass, willow and a variety of trees and grasses not previously present. Upland vegetative cover has improved steadily since the implementation of the project began (U of A data). Ranchers have seen a noted decrease in the percentage of bare ground, sheet and rill erosion. Xxxxxxx Xxxxxxx of the C6 Ranch states, “Headcuts have stopped and the reseeded areas in CCC Flats now have thick grass cover on 3:1 slopes instead.” Over the five year period, massive amounts of data were collected. For example on the C6 Ranch alone, each years’s observations and data analysis added up to over 100 pages. Because of the size of the monitoring reports, they are submitted in electronic format in the appendix. The following is a general summary of the results as submitted by Xxxxxxx Xxxxxxx, C6 Ranch.

  • Financial Condition There shall have been no material adverse change, as determined by Bank, in the financial condition or business of Borrower, nor any material decline, as determined by Bank, in the market value of any collateral required hereunder or a substantial or material portion of the assets of Borrower.

  • Continuity of Operations Engage in any business activities substantially different than those in which Borrower is presently engaged, (2) cease operations, liquidate, merge, transfer, acquire or consolidate with any other entity, change its name, dissolve or transfer or sell Collateral out of the ordinary course of business, or (3) pay any dividends on Borrower’s stock (other than dividends payable in its stock), provided, however that notwithstanding the foregoing, but only so long as no Event of Default has occurred and is continuing or would result from the payment of dividends, if Borrower is a “Subchapter S Corporation” (as defined in the Internal Revenue Code of 1986, as amended), Borrower may pay cash dividends on its stock to its shareholders from time to time in amounts necessary to enable the shareholders to pay income taxes and make estimated income tax payments to satisfy their liabilities under federal and state law which arise solely from their status as Shareholders of a Subchapter S Corporation because of their ownership of shares of Borrower’s stock, or purchase or retire any of Borrower’s outstanding shares or alter or amend Borrower’s capital structure.
