Retirement or Termination without Cause. If the Participant incurs a Severance on account of Retirement or Termination without Cause before December 31, 2000, a pro-rated portion of the Option shares granted in this Notice, based upon the number of full months of employment with Mattel since the Grant Date to the earlier of the date of Severance or November 6, 2000, divided by 36, and the remaining Option shares granted in this Notice shall be forfeited.

Retirement or Termination without Cause. If the Participant’s employment with the Company terminates due to Retirement (as defined below) or is terminated by the Company without Cause (as defined in Section 4(c)) prior to one or more Vesting Dates, a pro rata portion of all unvested Options shall remain outstanding and continue to vest in accordance with the terms of this Agreement, calculated by multiplying the number of unvested Options by a fraction, the numerator of which is the number of full months from the Grant Date or, as applicable, the most recent Vesting Date through the effective date of the Participant’s Termination of Employment and the denominator of which is the number of full months in the vesting period from the Grant Date or, as applicable, the most recent Vesting Date to the final Vesting Date. Any unvested Options other than the pro rata portion determined in accordance with the immediately preceding sentence shall immediately be forfeited and canceled effective as of the date of the Participant’s Termination of Employment. All vested, exercisable and unexercised Options held by the Participant must be exercised within such period of time ending on the earlier of (A) 90 days after the date of the Participant’s Termination of Employment or (B) the Expiration Date, in accordance with the terms of the Plan and this Agreement, and if not so exercised shall expire and be of no further force or effect whatsoever. For purposes of this Agreement, “Retirement” shall mean the Participant’s voluntary or involuntary Termination of Employment, other than by reason of death, Disability or the Participant’s termination of employment by the Company for Cause, occurring on or after the date on which the Participant reaches the age of sixty (60) and has completed fifteen (15) years of service with the Company.
Retirement or Termination without Cause. If the Participant experiences a termination of employment with the Company because of Retirement or a termination of employment by the Company without Cause during the Vesting Period, the Participant shall additionally become Vested in a prorated number of the Restricted Share Units calculated by (i) multiplying the total number of Restricted Share Units subject to this Award by a fraction, the numerator of which is the number of full months the Participant was employed with the Company or a Subsidiary between the Date of Grant and the date of the Participant’s termination of employment, and the denominator of which is [INSERT No. of Months in Vesting Period], rounded down to the nearest whole Restricted Share Unit, and (ii) reducing the result of clause (i) by the number of Restricted Share Units previously Vested under this Agreement.

  • Termination Without Cause The Company may terminate the Executive’s employment hereunder at any time without Cause. Any termination by the Company of the Executive’s employment under this Agreement which does not constitute a termination for Cause under Section 3(c) and does not result from the death or disability of the Executive under Section 3(a) or (b) shall be deemed a termination without Cause.

  • Effect of Termination Without Cause If Employee's employment is terminated "Without Cause":

  • Termination by Employer Without Cause Employer may terminate the Term (and Executive’s employment) by giving two weeks written notice to Executive.
