3.1 to the extent the Contract Performance Guarantee is valid for an amount in excess of Rupees Fourty Five Crore Fifty Lakh (Rs. 45.50 Crore) [Amount to be inserted by the BPC, as computed in Article 3.3.3], or (ii) termination of this Agreement by the Nodal Agency as mentioned under Article 3.3.4
Return of Contract Performance Guarantee. 6.5.1 If the TSP fails to achieve COD of any of the Elements on their respective Scheduled COD specified in this Agreement, subject to conditions mentioned in Article 4.4, the Long Term Transmission Customers shall have the right to encash the Contract Performance Guarantee and appropriate in their favour as liquidated damages an amount specified in Article 6.4.1, without prejudice to the other rights of the Long Term Transmission Customers under this Agreement.
6.5.2 The Contract Performance Guarantee as submitted by TSP in accordance with Article 3.1.1 shall be released by the Long Term Transmission Customers within three (3) months from the COD of the Project. In the event of delay in achieving Scheduled COD of any of the Elements by the TSP (otherwise than due to reasons as mentioned in Article 3.1.1 or Article 11) and consequent part invocation of the Contract Performance Guarantee by the Long Term Transmission Customers, the Long Term Transmission Customers shall release the Contract Performance Guarantee if any, remaining unadjusted, after the satisfactory completion by the TSP of all the requirements regarding achieving the Scheduled COD of the remaining Elements of the Project. It is clarified that the Long Term Transmission Customers shall also return/release the Contract Performance Guarantee in the event of (i) applicability of Article 3.
Return of Contract Performance Guarantee. 6.5.1 If the TSP fails to achieve COD of any of the Elements on their respective Scheduled COD specified in this Agreement, subject to conditions mentioned in Article 4.4, the Long Term Transmission Customers shall have the right to encash the Contract Performance Guarantee and appropriate in their favour as liquidated damages an amount specified in
Return of Contract Performance Guarantee. 1.04.1 Subject to Article 1.03, MPPMCL, shall return/release the Performance Guarantee three (3) months after the commercial Operation date.
1.04.2 The return/release of the Performance Guarantee shall be without prejudice to other rights of MPPMCL under this Agreement.
Return of Contract Performance Guarantee. 3.8.1 The Procurer shall return / release the Contract Performance Guarantee in the event of (i) applicability of Article
3.4.2 to the extent the Contract Performance Guarantee is valid for an amount in excess of Rupees ………………… ( ) [Insert amount not less than that derived on the basis of 40.00 lakhs per MW of the Contracted Capacity], or (ii) termination of this Agreement by any Party under Article 3.4.3, 3.4.4 or Article 3.4.5 of this Agreement.
Return of Contract Performance Guarantee. 3.4.1 The Procurer(s) shall return / release the Contract Performance Guarantee in the event of termination of this Agreement by Seller for Procurer(s) default within 30 days.
3.4.2 Subject to the provisions of Article 3.4.1, the Procurer(s) shall return / release the Contract Performance Guarantee to the Seller at the end of the Term of this Agreement.
3.4.3 The return / release of the Contract Performance Guarantee shall be without prejudice to other rights of the Procurer(s) under this Agreement.

In the event of delay in achieving Scheduled COD of any of the Elements by the TSP (otherwise than due to reasons as mentioned in Article 0 or Article 0) and consequent part invocation of the Contract Performance Guarantee by the Nodal Agency, Nodal Agency shall release the Contract Performance Guarantee, if any remaining unadjusted, after the satisfactory completion by the TSP of all the requirements regarding achieving the Scheduled COD of the remaining Elements of the Project. It is clarified that the Nodal Agency shall also return/release the Contract Performance Guarantee in the event of (i) applicability of Article 0 to the extent the Contract Performance Guarantee is valid for an amount in excess of Rs.5.91 Crore (Rupees Five Crore Ninety One Lakh Only), or (ii) termination of this Agreement by the Nodal Agency as mentioned under Article 0 of this Agreement.
6.5.2 The release of the Contract Performance Guarantee shall be without prejudice to other rights of the Nodal Agency under this Agreement.

It is clarified that the Long Term Transmission Customers shall also return / release the Contract Performance Guarantee in the event of (i) applicability of Article 3.
