Review by the Sellers’ Representative. (a) Upon completion of the Closing Balance Sheet and Closing Statement, Buyer shall promptly issue and deliver the Closing Balance Sheet, Closing Statement and the statements supporting the calculations thereof (the “Supporting Statements”) to the Sellers’ Representative (but in no event later than 45 calendar days after the Closing Date).

Review by the Sellers’ Representative. The Sellers' Representative shall have twenty (20) days following the date the Company delivers the Final Balance Sheet to dispute the Final Balance Sheet, each component of Purchase Price and the Closing Date Cash Payment, by providing the Buyer with written notice of such dispute. During such twenty day period, the Company shall, and the Buyer shall cause the Company to, make available to the Sellers' Representative all information, documents, books and records of the Company and other access to the Company's employees, assets or properties reasonably requested in order to evaluate the Final Balance Sheet. The Sellers' objection notice shall specify in reasonable detail any proposed adjustment to the Final Balance Sheet, each component of Purchase Price and the Closing Date Cash Payment and the basis therefor, including in each case a specific dollar amount and a reasonably detailed explanation of how such proposed adjustment was calculated. If the Sellers' Representative has not given the Buyer written notice of any objections to the Final Balance Sheet, each component of Purchase Price and the Closing Date Cash Payment during such twenty (20) day period, then these statements shall be deemed to be agreed upon by the Parties, and the adjustments contemplated by Section 2.4(d) below shall be made based on such statements. If the Sellers' Representative delivers an objection notice (it being agreed that the objection notice shall specify in reasonable detail any proposed adjustment to the Final Balance Sheet and the calculation of Purchase Price and the basis therefor, and any line item that is not so specified shall be deemed to be agreed upon by the Parties) to the Buyer prior to the expiration of the 20-day period in accordance with this Section 2.4(c), the Buyer and the Sellers' Representative shall attempt in good faith to resolve all disputes within twenty (20) days thereafter, and any written resolution, signed by each of Buyer and the Sellers' Representative, as to a disputed adjustment shall be final, binding, conclusive and non-appealable for all purposes hereunder. Review by the Sellers’ Representative. (i) Upon completion of the Closing Balance Sheet, the Buyer shall promptly deliver the same together with the Final Net Working Capital Statement to the Sellers’ Representative with a notice (the “Notice of Adjustment“) of the Buyer setting forth its proposed adjustment, if any, of the Adjusted Purchase Price as contemplated hereby. During the preparation of, and after the completion of, the Closing Balance Sheet until the Final Determination Date, the Buyer shall provide the Sellers’ Representative and its advisors with reasonable access upon prior written request to the Company’s personnel, advisors, properties, books and records, as well as the right to make copies of all such books and records of the Ricon Companies, in each case, as related to the preparation of the Closing Balance Sheet and the preparation of the Final Net Working Capital Statement. The Buyer shall also provide the Sellers’ Representative with reasonable access upon prior written request to work papers, trial balances and similar materials used in connection with preparing the Closing Balance Sheet and the Final Net Working Capital Statement and shall allow the Sellers’ Representative to make copies thereof.
