Right of Termination or Recapture. If Tenant requests Landlord’s consent to a Transfer (excepting a Related Party Transfer, as hereinafter defined) of all or a portion of the Premises, Landlord shall have the option, exercisable by written notice to Tenant given within thirty (30) days after Landlord’s receipt of Tenant’s completed request, to terminate this Lease as of the date specified in such notice, which shall not be less than thirty (30) nor more than one hundred twenty (120) days after the date of such notice, as to the entire Premises in the case of a proposed Transfer of the whole Premises, and as to the portion of the Premises to be transferred in the case of a partial Transfer. In the event of termination in respect of a portion of the Premises, the portion so eliminated shall be delivered to Landlord on the date specified in good order and condition in the manner required under this Lease at the end of the Term and thereafter, to the extent necessary in Landlord’s judgment, Landlord, at Tenant’s cost and expense, may have access to and may make modification to the Premises (or portion thereof) so as to make such portion a self-contained rental unit with access to common areas, elevators and the like. Base Rent and the Tenant’s share shall be adjusted according to the extent of the rentable square footage of the Premises for which the Lease is terminated. If Landlord does exercise its right to terminate this Lease or recapture the portion of the Premises pursuant to this Section 13.03, Tenant may rescind its request for consent to Transfer within three (3) business days and, in such case, Landlord’s recapture shall be null and void and this Lease shall continue in full force and effect. If Landlord does not exercise its right to terminate this Lease or recapture the portion of the Premises pursuant to this Section 13.03, then Landlord, subject to the provisions of Section 13.02, will not unreasonably withhold, condition or delay its consent to the proposed Transfer.

Right of Termination or Recapture. If Tenant proposes a transfer of the Premises with an intended duration of more than seven (7) years (other than for Excluded Transactions or a transfer of a division of Tenant that occupies the entire Building which transfer involves the entire Building), Tenant shall offer to Landlord in writing the right to terminate this Lease as to the space and period in question as of the date specified in the offer. If Landlord shall elect in writing to accept the offer to terminate within twenty (20) days after receipt of notice of the offer, this Lease shall so terminate as to the space and period in question as of the date specified in such offer, and all of the terms and provisions of this Lease governing termination shall apply. If Landlord shall not so elect, Tenant shall then comply with the provisions of this Article VIII applicable to such transfer.

Right of Termination or Recapture. Except for Permitted Transfers, if Tenant proposes a transfer of the entire Premises or of more than fifty percent of the rentable floor area of the Premises, in Tenant's request for consent under Section 6.4 (the "Tenant Request") Tenant shall offer to Landlord in writing the right to terminate this Lease as to the area in question as of the date specified in the offer. If Landlord shall elect in writing to accept the offer to terminate within thirty days after receipt of such offer ("Landlord's Termination Acceptance"), this Lease shall so terminate as to the area in question as of the date specified in such offer, and all of the provisions of this Lease governing termination shall apply, unless Tenant, within thirty days from its receipt of Landlord's Termination Acceptance, provides Landlord with a written notice in which Tenant unconditionally revokes the Tenant Request. If Landlord does not timely issue a Landlord Termination Acceptance, Tenant shall then comply with the provisions of this Article applicable to a transfer.
Right of Termination or Recapture. Before any Transfer (excluding Permitted Transfers) that, when aggregated with all prior Transfers (excluding Permitted Transfers) then in effect, would result in the total rentable square footage of the Premises subject to Transfers being equal to at least 25 percent of the rentable square footage of the Premises, Tenant shall offer Landlord in writing the right to terminate this Lease with respect to such portion of the Premises subject to the proposed Transfer as of a future date specified in the offer and prior to the proposed Transfer. If within twenty (20) days after receiving such offer Landlord elects in writing to accept it, this Lease shall terminate with respect to such portion of the Premises subject to the proposed Transfer as of the specified date. If Landlord does not accept the offer within the twenty (20) day period, Tenant may proceed with the Transfer, subject to the other requirements of this Article 13.
Right of Termination or Recapture. If Tenant proposes a Transfer of all or more than fifty percent (50%) of the Premises in the aggregate (excluding any Related Party Transfer), in Tenant's request for consent under Section 13.04 Tenant shall offer to Landlord in writing the right to terminate this Lease as to the area in question. If Landlord shall elect in writing to accept the offer to terminate within thirty (30) days after receipt of such offer, this Lease shall so terminate as to the area in question of the date specified in such offer as of the date specified in the offer and the provisions of this Lease governing termination shall apply to such space. If Landlord shall not so elect, Tenant shall then comply with the provisions of this Article applicable to a Transfer. Landlord shall have the right to separate any portion of the Premises recaptured pursuant to this Section 13.03 from the remainder of the Premises by constructing demising walls at its sole cost and expense.
Right of Termination or Recapture. In the event Tenant intends to effect a Transfer (excepting a Related Party Transfer) of all or substantially all of the Premises for all or substantially all of the remaining Term of this Lease, then Tenant shall notify Landlord of such intent prior to or in connection with seeking Landlord’s consent thereto which notice shall specify the effective date of such Transfer, which date shall not be less than one hundred twenty (120) nor more than one twelve (12) months days after the date of such notice. Upon such notice, Landlord shall have the option, exercisable by written notice to Tenant given within forty-five (45) days after Landlord’s receipt of such notice, to terminate this Lease as of the date specified in such Tenant’s notice. In the event of termination of this Lease, the Premises shall be delivered to Landlord on the date specified in the order and condition in the manner required under this Lease at the end of the Term.

Landlord shall have the right to separate any portion of the Premises recaptured pursuant to this Section 13.03 from the remainder of the Premises by constructing demising walls at Tenant’s sole cost and expense. This Section 13.03 shall not apply to Related Party Transfers.

  • Right of Termination This Agreement and the transactions contemplated hereby may be completely terminated at any time at or prior to the Closing: (a) by mutual written consent of the Parties; (b) by either Seller or Buyer if the Closing shall not have occurred on or before October 31, 2013; provided, however, that (i) no Party shall have the right to terminate this Agreement pursuant to this clause (b) if such Party is at such time in material breach of its representations and warranties set forth in this Agreement or negligently or willfully failed to perform or observe its covenants and agreements herein in any material respect and (ii) such date shall be postponed to the extent necessary to resolve all disputes being arbitrated pursuant to Section 8.8 under this Agreement or under any of the Cinco Purchase Agreements; (c) by either Seller or Buyer if any Governmental Authority shall have issued an order, judgment or decree or taken any other action challenging, delaying, restraining, enjoining, prohibiting or invalidating the consummation of any of the transactions contemplated herein; or (d) If the sum of (i) the Aggregate Title Defect Value (which shall include any unresolved disputed Title Defects and any unCured Title Defects, whether or not Seller has elected to attempt to Cure), plus (ii) the Aggregate Environmental Defect Value (which shall include any unresolved disputed Environmental Defects and any unRemediated Environmental Defects, whether or not Seller has elected to attempt to Remediate), plus (iii) the aggregate costs to repair or restore any portion of the Assets subject to a Casualty Loss (or condemnation or eminent domain, the Allocated Value of such Assets) and any other Damages related thereto, exceeds 15% of the unadjusted Purchase Price, then either Seller or Buyer may terminate this Agreement upon written notice to the other parties hereto; provided, however, that Buyer may not terminate pursuant to this Section 12.1(d) until such time as Seller shall have had a reasonable opportunity to Cure any Title Defect or Remediate any Environmental Defect.

  • Effect of Termination or Reduction Any termination or reduction of the Commitments of a Class shall be permanent. Each reduction of the Commitments of a Class shall be made ratably among the Lenders of such Class in accordance with their respective Commitments.
