RIGHT TO SEEK INJUNCTIVE RELIEF. The Executive acknowledges that a violation on his part of any of the covenants contained in Sections 11 and 12 would cause immeasurable and irreparable damage to the Company. The Executive accordingly agrees and hereby grants his consent that, without limiting the remedies available to the Company, any actual or threatened violation of such covenants may be enforced by injunctive relief or by other equitable remedies issued or ordered by any court of competent jurisdiction.
RIGHT TO SEEK INJUNCTIVE RELIEF. You acknowledge that any breach of your obligations under this Agreement and/or Section 7 of your Employment Agreement would constitute a material breach of the Agreement. You further acknowledge that the Company’s remedy at law for any actual or threatened breach of those obligations would be inadequate and that the Company will, in addition to whatever remedies it may have at law or in equity under this Agreement, be entitled to immediate injunctive relief from any actual or threatened breach of those provisions.
RIGHT TO SEEK INJUNCTIVE RELIEF. Employee agrees that in addition and without prejudice to Employer’s right to seek legal, equitable, and/or any other form of relief, a breach of any of the provisions set forth in paragraph 7 (Confidentiality of Proprietary Information), paragraph 8 (Intellectual Property Rights), paragraph 9 (Covenant Not to Compete), paragraph 10 (Non-Solicitation), paragraph 11 (Confidentiality of Agreement), and/or paragraph 12 (Non-Disparagement) of this Agreement shall be temporarily, preliminarily, and/or permanently enjoined by any court of competent jurisdiction upon motion by Employer upon notice to Employee without a need to show irreparable injury. If the period of time or the geographic scope identified in paragraphs 10 or 11 of this Agreement should be adjudged unreasonable in any proceeding to enforce this Agreement, then the period of time shall be reduced by such number of months or the geographical scope shall be reduced by the elimination of such portion thereof, or both, so that such restrictions may be enforced for such time and in such geographical area as is adjudged to be reasonable.
RIGHT TO SEEK INJUNCTIVE RELIEF. This Agreement does not preclude either party from seeking injunctive relief in a court of law in accordance with applicable law.
RIGHT TO SEEK INJUNCTIVE RELIEF. Notwithstanding the foregoing provisions of this Section 10.6, either party has the right to bring suit in a court of competent jurisdiction against the other party for (i) any breach of such other party's duties of confidentiality pursuant to Article 6 of this Agreement and (ii) any infringement of its own proprietary rights by the other party.
RIGHT TO SEEK INJUNCTIVE RELIEF. Both Parties may, at their sole discretion, seek interim injunctive relief in any court of competent jurisdiction and this Section 7.5 may be enforced by any court of competent jurisdiction.
RIGHT TO SEEK INJUNCTIVE RELIEF. Each Seller hereby acknowledges and agrees that a violation of this Section 6.14 will cause irreparable injury to Buyer and that Buyer shall be entitled, in addition to any other rights and remedies Buyer may have, at law or in equity, to seek an injunction enjoining and restraining such Seller from doing or continuing to do any such and any other violations or threatened violations of this Section 6.14.
RIGHT TO SEEK INJUNCTIVE RELIEF. In the event that the Employee breaches, or threatens to commit a breach of, any of the terms or conditions of the covenants contained in Sections 7 or 8 hereof, the Company shall, in addition to any other right or remedy available at law or in equity, have the right and remedy to enjoin, preliminarily and permanently, the Employee from breaching or threatening to breach any such covenants and to have the covenants specifically enforced by any court of competent jurisdiction in Clark Coxxxx, Nevada. The Employee acknowledges and agrees that any breach or threatened breach of such covenants would cause irreparable harm to the Company, and that money damages would not provide an adequate remedy to the Company. The Employee further acknowledges and agrees that the Restrictive Covenants are reasonable and valid in time, scope, geographic area and all other respects, and are necessary to protect the legitimate business interests of the Company. In the event that any of the provisions of the Restrictive Covenants are adjudicated to exceed the time, scope, geographic area or other limitations permitted by applicable law, it is the intention of the parties that the provision shall be amended to the extent of the maximum time, scope, geographic area or other limitations permitted by applicable law, and that the provision otherwise be enforced to the maximum extent permitted by law. The Employee also acknowledges that the Term of Employment hereunder, the amount of salary, benefits and other consideration provided by the Company Employee's Initials: JH Company's Initials: RJH Station Casinos LLC hereunder are, in part, provided by the Company to secure the Employee's agreement to the Restrictive Covenants. The Employee agrees to waive and hereby waives any requirement for the Company to secure any bond in connection with the obtaining of such injunction or other equitable relief.
RIGHT TO SEEK INJUNCTIVE RELIEF. Notwithstanding anything in this Agreement to the contrary, a Party may seek a temporary restraining order or a preliminary injunction from any court of competent jurisdiction in order to prevent immediate and irreparable injury, loss, or damage on a provisional basis, pending the decision of the arbitrator(s) on the ultimate merits of any dispute, controversy, or claim.
RIGHT TO SEEK INJUNCTIVE RELIEF. Notwithstanding the foregoing provisions of this Section 16.8, either party has the right to bring suit in a court of competent jurisdiction against the other party for (i) any breach of such other party’s duties of confidentiality pursuant to Article 15 of this Agreement.
