RIGHTS AND RESPONSIBILITIES OF NOBLESVILLE. Section 2.1 Specifications for Sewage Facilities. Prior to the beginning of construction of the sewer main extension and related facilities, Noblesville and the Developer will agree upon the “Approved Plans”. The Approved Plans will include (i) the locations for the Northern Connection to Noblesville’s existing sewer facilities; (ii) the location of the sewer main extension; (iii) the plans and specifications for the sewer main extension and other corresponding sewer facilities to be constructed under this Agreement (collectively, the “Utility Facilities”); and (iv) the contractor. The parties will negotiate in good faith concerning the Approved Plans and to proceed diligently and in good faith in satisfying their respective obligations under this Agreement. The parties acknowledge and agree that Sections 1 and 2 of the Development will be served from the Southern Connection. Sewer service for Sections 1 and 2 of the Development is not part of this Agreement and shall be handled in the normal course outside this Agreement, with the exception of (i) Availability Fees (as defined herein) for Sections 1 and 2 of the Development which will be credited to the cost of the Utility Facilities as provided herein; and (ii) the cap on EDUs as provided in Section 2.5 of this Agreement shall apply to Sections 1 and 2 of the Development. Developer shall request bids for the work from at least two (2) qualified contractors with experience in boring large sewer pipe, or has a subcontractor that has experience in boring large sewer pipe, in similar circumstances.
