Roll-out. 25.1 The USP shall maintain a waiting list of all prospective customers desiring to be registered for a telephone connection from the USP. At least 100 rural household DELs should be provided within six months from the effective date of the Agreement in each of the SSA within the Service Area for which the Agreement is signed. After six months from the effective date of the Agreement, all wait-listed subscribers shall be provided with rural DELs within a period of three months of registration. The USP shall provide a quarterly statement in Annexure – IV containing details of the registered demand of the customers and RDELs provided. For the RDELs not provided as per the Rollout required to be achieved, without prior written concurrence of the Administrator, the delayed period shall entail recovery of Liquidated Damages (X.X). 25.2 Provided further that for the RDELs that are provided within 30 calendar days of the expiry of the relevant period from the effective date, the Administrator shall accept the services without levy of the X.X. charges. For the shortfall in providing the required number of RDELs after the stipulated period, the Administrator shall be entitled to recover liquidated damages at the rate of 5% of front loaded subsidy payable for those RDELs for each calendar month of delay of part thereof, subject to a maximum of 10% of the front loaded subsidy thus payable for those RDELs. For the purpose of charging the Liquidated Damages, the representative rate for the front loaded subsidy applicable for the respective SDCA in the service area, where the relevant roll out obligation of providing RDELs has not been fulfilled, shall be taken into account. The Administrator may also decide to invite fresh bids in respect of unfulfilled roll out.

Roll-out. Corporation shall not be required to fund the media roll-out of the Show if Corporation determines that: (a) In Corporation's sole discretion, or upon advice of counsel, the risk of airing the Show is unacceptable; (b) Client, in Corporation's opinion, cannot manufacture or deliver sufficient quantities of Product in relation to media time purchased; (c) Client's relationships with its service vendors such as its inbound telemarketer, Fulfillment Company and Product manufacturer are unacceptable to Corporation; (d) Client's right to sell the Product is in question; (e) The Test Results are unsatisfactory; or (f) Client is in material breach of this Agreement.

Roll-out. Within 120 days of the occurrence of Pilot Completion, Customer will commence to install the Software in its stores on a widespread basis. Customer will notify Vendor in writing of the first day that such installation commences (the "Roll-Out Commencement Date"), and will make best efforts to provide such written notice at least ten (10) days before the Rollout Commencement Date.
