Round-Xxxxx Resolutions. 11.11.1 A written resolution (which may consist of one or more documents in like form, each signed by trustees), signed and passed by all the trustees of a Special Purpose Trust and inserted in the minute book, shall be valid and effective in accordance with its terms as if passed at the meeting of the trustees, provided that proper notice of the written resolution was duly given to each of the trustees and provided further than any trustee, after receipt of such notice, may, if he deems it necessary, convene a meeting of the trustees to discuss the contents of such notice.
