Safeguards Against Misuse of PHI. Business Associate will use appropriate safeguards to prevent the use or disclosure of PHI other than as provided by the Agreement or this BAA and Business Associate agrees to implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of the Electronic PHI that it creates, receives, maintains or transmits on behalf of Covered Entity. Business Associate agrees to take reasonable steps, including providing adequate training to its employees to ensure compliance with this BAA and to ensure that the actions or omissions of its employees or agents do not cause Business Associate to breach the terms of this BAA.
Safeguards Against Misuse of PHI. Business Associate shall use appropriate safeguards to prevent the use or disclosure of PHI other than as provided by this Addendum in compliance with HIPAA. Business Associate specifically agrees to comply with the HIPAA Privacy and Security Rules that are applicable to Business Associate. Business Associate agrees to take reasonable steps to ensure that the actions or omissions of its employees or agents do not cause Business Associate to breach the terms of this Addendum. Business Associate shall implement Administrative, Physical, and Technical Safeguards that reasonably and appropriately protect the Confidentiality, Integrity, and Availability of the Electronic PHI that Business Associate creates, receives, maintains, or transmits on behalf of Covered Entity in compliance with the HIPAA Security Rule.
Safeguards Against Misuse of PHI. Tech shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, availability, and integrity of the Electronic PHI that it creates, receives, maintains, or transmits on behalf of Bank or its Covered Entity clients, and shall use appropriate safeguards to prevent the use or disclosure of all PHI other than as provided by the Services Agreement or this Addendum. In particular, but without limitation, Tech shall provide security for all PHI provided to it under this Addendum that meets the standards set forth in the Guidance issued by HHS under the HITECH Act, as published in 74 Fed. Reg. 19006, et seq. (April 27, 2009), as such standards may be modified or amended by HHS. Tech agrees to take reasonable steps to ensure that the actions or omissions of its employees or agents do not cause Tech to breach the terms of this Addendum.
Safeguards Against Misuse of PHI. Per-Se agrees that it will implement appropriate safeguards to prevent the use or disclosure of PHI received from Customer or its authorized submitters other than pursuant to the terms and conditions of this Amendment.
Safeguards Against Misuse of PHI. SIRUM shall use appropriate safeguards to prevent the unauthorized use or disclosure of PHI and shall comply with applicable provisions of the Security Rule.
Safeguards Against Misuse of PHI. (a) Business Associate will implement appropriate safeguards to prevent the use or disclosure of PHI other than as permitted by this Agreement.
(b) Business Associate will implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, availability, and integrity of Electronic PHI created, received, maintained, or transmitted by Business Associate on behalf of Covered Entity as required under 45 C.F.R. §§164.308, 164.310 and 164.312. Such safeguards will (i) protect against reasonably anticipated (A) threats or hazards to the security or integrity of Electronic PHI and (B) uses or disclosures of Electronic PHI that are not permitted or required under the HIPAA Laws, and (ii) ensure compliance with the HIPAA Laws by Business Associate's workforce. Business Associate will encrypt end user devices (e.g., desktops, laptops, smart phones, tablets, etc.) or removable storage media (e.g., USB flash drives, memory cards, external hard drives, writeable CDs or DVDs, backup tapes, etc.) that store Electronic PHI.
(c) Business Associate will not directly or indirectly receive remuneration in exchange for PHI of an individual except as authorized by the HIPAA Laws.
(d) Business Associate will comply with Covered Entity’s Notice of Privacy Practices, and Covered Entity will notify Business Associate of any restrictions agreed to by Covered Entity with respect to any individual’s PHI, to the extent such restriction may impact Business Associate. Covered Entity’s Notice of Privacy Practices is posted on Covered Entity’s website.
(e) Business Associate will not store or transmit Covered Entity’s PHI or Electronic PHI outside of the United States.
Safeguards Against Misuse of PHI. Xxxxx will use appropriate safeguards to prevent the use or disclosure of PHI other than as provided by the Agreement or this BAA and Xxxxx agrees to implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of the Electronic PHI that it creates, receives, maintains or transmits on behalf of Covered Entity. Vigil agrees to take reasonable steps, including providing adequate training to its employees to ensure compliance with this BAA and to ensure that the actions or omissions of its employees or agents do not cause Vigil to breach the terms of this BAA.
Safeguards Against Misuse of PHI. COMPANY agrees that it will implement appropriate safeguards to prevent the use or disclosure of PHI received from CUSTOMER or its authorized submitters other than pursuant to the terms and conditions of this Business Associate Amendment.
Safeguards Against Misuse of PHI. McKesson agrees that it will implement appropriate safeguards to prevent the use or disclosure of PHI received from Customer or its authorized submitters other than pursuant to the terms and conditions of this Amendment.
Safeguards Against Misuse of PHI. 3.1. Business Associate Shall use appropriate safeguards to prevent the use or disclosure of PHI other than as provided by the agreement or this BAA; and Business Associate agrees to implement administrative, physical, and technical safeguards that reasonably and appropriately protect the confidentiality, integrity and availability of the Electronic PHI that it creates, receives, maintains, or transmits on behalf of Covered Entity, including complying with applicable agreements of 45 C.F.R. Part 164 Subpart C with regard to Electronic PHI.
