Sales Force Incentives. The incentive compensation structure for the Designated Sales Force with respect to the Co-Promotion Product(s) shall be substantially consistent with that compensation structure used in connection with Sanofi’s sales representatives engaged in the promotion of the Co-Promotion Product(s) unless otherwise agreed by Sanofi.

Sales Force Incentives. The Company shall approve in advance any Sales Force Incentives program, which approval shall not be unreasonably withheld. The Company will reimburse Lilly and ICOS for Sales Force Incentives paid in accordance with an approved program. To the extent actual Sales Force Incentives incurred by Lilly and/or ICOS, exceed the amounts determined in accordance with the approved bonus program, the excess bonus amounts will not be reimbursed by the Company.

Related to Sales Force Incentives

  • Sales Force During the term of this Agreement, Licensee shall maintain a non-exclusive sales force suitable to carry out the purpose of this Agreement.
