Samples and Approvals. Licensee agrees to follow any and all written specifications of University relating to the nature and quality of Licensed Products and the use of Licensed Marks. Licensee will submit two (2) sample(s) of each Licensed Product (plus one color photo of the product) to University for its approval prior to sale or distribution. In addition, Licensee shall submit to University for its approval prior to use all tags, labels, containers, packaging, advertising, promotional, and display materials or the like which utilize Licensed Marks. University approval shall not constitute an endorsement of the usefulness or safety of a product, nor shall it in any manner guaranty or warranty of quality. Licensee will neither state nor imply either directly or indirectly that Licensee's products or activities are supported, endorsed, or sponsored by University, and if so directed by University, shall issue express disclaimers to the that effect. All rights, including copyrights, in artwork utilizing Licensed Marks created by Licensee or its agents in connection with this Agreement shall be owned by University

Samples and Approvals a. Licensee agrees to submit samples of the Licensed Products to Licensor from time to time, at Licensee's expense. Unless Licensor comments negatively about any of such samples within 30 days of receipt by Licensor, such samples will be deemed approved by Licensor. b. If Licensor finds any defects in such samples, and so notifies Licensee, Licensee agrees to take prompt action, with high priority and in close collaboration with Licensor, to correct the problem with a minimum of delay.
Samples and Approvals. Where approval of a product is specified the requirement for approval relates to a sample of the product and not to the product as used in the Works. Submit a sample or other evidence of suitability. Do not confirm orders or use the product until approval of the sample has been obtained. Retain approved sample in good, clean condition on site. Ensure that the product used in the Works matches the approved sample.
Samples and Approvals. No Authorized Goods of any type, style, model or description shall be purchased for resale, sold or distributed prior to Wilsxx'x xxxroval of samples of each such type, style, model or description and the packaging and accompanying materials therefor. Samples shall be submitted far enough in advance of their intended use to that there is sufficient time for the samples to be revised in the event Wilsxx xxxapproves of such. Wilsxx xxxl use its best efforts to notify Licensee within fourteen (14) business days of receipt of such of its approval or disapproval of samples. Such approval shall not be unreasonably withheld or delayed. If Wilsxx xxxs not notify Licensee of its approval within said fourteen (14) days then such samples shall be considered disapproved, unless said request is resubmitted by Licensee in the form of a written Notice, in which event failure by Wilsxx xx issue approval or disapproval within an additional seven (7) day period shall be considered approval unless Wilsxx xxxifies Licensee that Wilsxx xxxuires a reasonable amount of additional time. Licensee shall, upon Wilsxx'x xxxsonable request, submit samples of Authorized Goods, purchasing and accompanying materials from time to time for comparison with approved samples. Submission of samples shall be at the expense of Licensee. Samples shall be submitted in quantities requested by Wilsxx xxxsonable for evaluation by Wilsxx. Xxcensee shall also provide Wilsxx xxxh a reasonable quantity of production line samples of Authorized Goods. All Authorized Goods shall conform to the approved samples thereof. Wilsxx'x xxxiew and approval of samples shall not b in derogation of Wilsxx'x xxxht to indemnification pursuant to Paragraph 16.
Samples and Approvals. 8.01 From time to time after the execution of this Agreement, Seller shall supply Buyer with agreed upon operating samples of each model of the Product (the "Operating Samples"), together with Specifications therefor relating to its electrical, mechanical and performance characteristics for Buyer's approval as to function, performance and serviceability. After submission of the Operating Samples and specifications, Buyer shall give Seller notice of its approval or disapproval in accordance with the provisions of Section 8.02

Any and all quality reporting requirements, such as ISIR and PPAP, shall be specified at the time of quotation and are subject to the approval of the Seller.   • Required Consents and Approvals All required consents and approvals shall have been obtained and be in full force and effect with respect to the transactions contemplated hereby and from (a) all relevant Governmental Authorities; and (b) any other Person whose consent or approval the Administrative Agent deems necessary or appropriate to effect the transactions contemplated hereby.
