Satisfaction of Covenants. Satisfaction of Covenants. Prior to the closing, the Bank shall have fully performed, satisfied and fulfilled each of the obligations imposed upon the Bank pursuant to the terms of this Agreement;
Satisfaction of Covenants. The Company and its Subsidiaries shall have satisfied and fulfilled each of the obligations imposed upon them pursuant to the terms of this Agreement.

Seller and the Agent shall have performed and complied with all covenants and obligations required by this Agreement, the Other Seller Agreements or the Other Agent Agreements to be performed or complied with by them, as applicable, prior to the Closing. All documents required to be delivered to Purchaser at or before the Closing pursuant to this Agreement shall have been delivered to Purchaser, and the form and content of all such documents shall be reasonably satisfactory to Purchaser and its legal counsel.
Satisfaction of Covenants. Each of the covenants and obligations that NovaMed is required to perform or to comply with pursuant to this Agreement at or prior to the Closing must have been duly performed and complied with.
