SDK Sample Clauses

SDK. The software development kit licensed by Customer from Verint, and includes all Documentation and other information related thereto (including, without limitation, all manuals, program listings, data models, sample code, Run-Time Software, flow charts, logic diagrams, input and output forms, specifications, application programming interfaces and other schematics), but does not include any Interface Application(s). For the purposes of this Agreement, the SDK shall be considered a Verint “Licensed Product” for all purposes.
SDK. THE SDK AND API ARE PROVIDED “AS IS” AND WEBROOT AND ITS LICENSORS EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, INCLUDING ANY WARRANTY OF NON- INFRINGEMENT, TITLE, FITNESS FOR A PARTICULAR PURPOSE, FUNCTIONALITY, OR MERCHANTABILITY, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THERE IS NO WARRANTY THAT THE SDK OR API WILL BE ERROR FREE. YOU AGREE THAT YOUR USE OF THE SDK AND API IS AT YOUR OWN DISCRETION AND RISK AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR ANY LOSS OF DATA THAT RESULTS FROM SUCH USE. YOU ARE SOLELY RESPONSIBLE FOR ANY APPLICATIONS YOU DEVELOP USING THE SDK OR API. YOU ACKNOWLEDGE THAT THE EVALUATION SERVICES ARE A PRE-RELEASE VERSION, DO NOT REPRESENT A FINAL SERVICE FROM WEBROOT, AND MAY CONTAIN BUGS, ERRORS, OR OTHER PROBLEMS THAT COULD CAUSE FAILURES AND OTHER DAMAGES, INCLUDING, WITHOUT LIMITATION DAMAGE TO YOUR COMPUTER. YOUR USE OF THE EVALUATION SERVICES IS ENTIRELY AT YOUR OWN RISK.
SDK. If you downloaded the SDK, you may use, reproduce, distribute, publish, and sublicense the SDK, and create derivative works of the SDK and NICE DCV Web Client solely to the extent those derivative works implement the NICE DCV Web Client, subject to the following conditions: (a) You will not remove any proprietary notices or labels on the SDK or any copy thereof. (b) You will include this permission notice in all copies or substantial portions of the SDK. (c) You require that each end user before accessing the SDK, NICE DCV Web Client, or any copies, derivative works or substantial portions thereof, agrees to comply with this XXXX. (d) Some components of the SDK may be governed by third party software licenses. Your license rights with respect to these individual components are defined by the applicable third party software licenses, and nothing in this Agreement will restrict, limit, or otherwise affect any rights or obligations you may have, or conditions to which you may be subject, under such third party software licenses. (e) THE SDK IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SDK OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
SDKTo the extent Partner makes any derivative works of the SDK, Partner hereby grants Webroot and its Affiliatesa non-exclusive, perpetual, irrevocable, transferable, sublicensable, royalty-free license under all of Partner’s Intellectual Property Rights to use, distribute, copy, create derivative works of, publicly perform, publicly display, make, have made, sell, offer for sale, import, and otherwise fully exploit such modifications and derivative works without restriction. For the avoidance of doubt, if Webroot makes any modifications to, or derivative works of, the SDK, whether or not upon the suggestion or request of Partner, Webroot and its licensors will own and retain all right,title and interest in and to any such modifications or derivative works, including all Intellectual Property Rights therein.
SDK. As of the date hereof, the authorized capital stock of SDK consists solely of 20,000 shares of SDK Common Stock. As of the date hereof, there are issued and outstanding 200 shares of SDK Common Stock, all of which are owned, beneficially and of record, by the Shareholders. As of the date hereof, there are no other shares of SDK stock, common or preferred, outstanding. All issued and outstanding shares of SDK Common Stock have been duly authorized and validly issued and are fully paid and nonassessable, are not subject to any right of rescission, are not subject to preemptive rights and have been offered, issued, sold and delivered by SDK in compliance with all registration or qualification requirements (or applicable exemptions therefrom) of applicable federal and state securities laws. Section 3.3(a)(i) of the Precision Disclosure Schedule sets forth the authorized and issued and outstanding capital stock of each Subsidiary of SDK. There are no outstanding stockholder agreements, voting trusts, proxies or other Contracts to which SDK, any such Subsidiary of SDK or, to the Shareholders' knowledge, to which any other Person is a party, relating to the voting of any shares of SDK or any such Subsidiary's capital stock.
SDK. Roku has no obligation to provide Developer with support, Updates, enhancements, or modifications for the SDK provided however, to the extent Roku offers any Updates to similarly situated third parties, Roku will offer the same Updates to Developer.
SDKNotwithstanding anything to the contrary in Section 13.1 (OpenText™ Threat Intelligence and Feedback) above, to the extent Partner makes any derivative works of the SDK, Partner hereby grants Company and its Affiliates a non-exclusive, perpetual, irrevocable, transferable, sublicensable, royalty-free license under all of Partner’s Intellectual Property Rights to use, distribute, copy, create derivative works of, publicly perform, publicly display, make, have made, sell, offer for sale, import, and otherwise fully exploit such modifications and derivative works without restriction. SDK. The ODA Member understands and agrees that the ODA may, in its absolute discretion, modify or amend Exhibit A in the event that the ODA changes either the SDK that is included in the PDF Underlay Software, or the third party vendor that supplies such SDK (“SDK Provider”). The ODA will notify the ODA Member of any amendment to Exhibit A.
SDK. Customer recognizes that the Usage of the Software Development Kit (SDK) for Implementing new Cryptographic Algorithms or Cryptographic Libraries into Utimaco Solutions/Products might change the Export Classification of Utimaco Products (ECCN) and requires in case of export a new filing process by Customer to determine/verify the Export Control Classification Number.
