Seismic Data Sample Clauses

Seismic DataNo fees will be due and owing in connection with the transactions contemplated hereby under any agreement covering any seismic records, shot points, field notes, interpretations, and geological and geophysical information held by Atlas America or any member of the Atlas Energy Group.
Seismic Data. If the MLP Group requires access to seismic data, interpretations, geological and/or geographic information to which New Source Energy or any of its Affiliates has access, (a) if New Source Energy or any of its Affiliates has the unrestricted right to provide such data or information to the MLP Group, New Source Energy shall promptly provide such data or information to the MLP Group, and (b) if neither New Source Energy nor any of its Affiliates has the unrestricted right to provide such data or information, New Source Energy shall use all commercially reasonable efforts to obtain (at the MLP Group’s sole cost and expense) access to such data or information for the MLP Group.
Seismic Data. Notwithstanding anything in this Agreement to the contrary, Buyer is responsible for obtaining any necessary consents to Seller’s assignment of any Third Party Seismic Data licenses or other agreements or for Buyer to enter into new licenses or other agreements, in each case as may be needed to permit Buyer to continue to utilize any Third Party Seismic Data covering the Properties after the Closing Date. Seller shall reasonably assist Buyer in contacting the relevant Third Parties, but Buyer shall be solely responsible for and shall bear all costs and transfer and other fees required to obtain assignments or new licenses or other agreements in connection with Third Party Seismic Data. With respect to any of Seller’s wholly-owned seismic data pertaining to the Properties, Buyer and Seller shall execute and deliver the Seismic License at Closing.
Seismic DataUpon Closing, the Xxxxx-Xxxx Parties will grant to Buyer (or, as requested by Buyer, to Xxxxx-Xxxx FB/M Successor and Pillar FB/M Successor) a reasonable and customary non-exclusive license to the Xxxxx-Xxxx Parties’ seismic and geophysical data relating to any of the Properties, with such terms and duration as may be consistent with the Xxxxx-Xxxx Parties’ rights thereto (but unless Buyer and the Xxxxx-Xxxx Parties otherwise mutually agree to further restrictions, such license will to the extent it covers such data that is owned by the Xxxxx-Xxxx Parties be a fully paid (royalty free), perpetual license the Xxxxx-Xxxx Parties subject to any same restrictions that are applicable to the Xxxxx-Xxxx Parties); but, only to the extent that such materials are not restricted from transfer by any legal constraints, obligations of confidence or prior agreements with third parties, and provided that the Xxxxx-Xxxx Parties can obtain consent to license where required, without material expense or unreasonable burden.
Seismic Data. (a) Except as provided in Schedule 2.1(13)(a), the Corporation owns a 100% interest in the three dimensional Seismic Data and no third party has any ownership, revenue or other interest in the three dimensional Seismic Data. (b) Except as provided in Schedule 2.1(13)(b), the Vendor has not licensed or otherwise given the Seismic Data to any third party, other than seismic data licenses entered into in the ordinary course of business and on normal industry terms (the “Seismic Data Licenses”). (c) The Seismic Data Licenses are in full force and effect, and there are no defaults by the Vendor or, to the best of knowledge of the Vendor, any licensee under the Seismic Data Licenses. (d) Except as provided in Schedule 2.1(13)(d), the Seismic Data is not under any exclusivity period or other restriction on marketing or sale. (e) The Seismic Data does not, to the best of the knowledge of the Vendor, infringe upon the intellectual property rights of any third party. (f) All Joint Venture Agreements are in full force and effect, and there are no defaults by the Vendor or any other party to such joint venture and other agreements.
Seismic Data. KMG agrees to license to W&T and/or Surviving Entity, on a mutually agreeable seismic data license form and at W&T’s sole risk and expense, any proprietary seismic data, insofar as it relates to the Leases or the Units, with respect to which KMG has the right to grant a license to W&T and/or Surviving Entity.
Seismic DataThe Company does not own any seismic data.
Seismic Data. 8.1 EOS and BUCCANEER shall have timely and comprehensive access in a reciprocal manner to all well data and seismic data, including interpretive data, owned by or in possession of either EOS or BUCCANEER or any of their respective affiliates, within the AMI. Such access shall be subject to the terms of any existing license agreements covering such data. EOS and BUCCANEER shall each have the right to reprocess any seismic data owned or in the possession of the other within the AMI, provided that such reprocessing is permitted under the governing license agreement, if any, covering such data. 8.2 As consideration for a third party obtaining a working interest by mutual agreement of the Parties in any of the Leases and becoming a party to this Agreement, BUCCANEER and EOS shall grant and deliver to such third party a license with respect to all seismic data, including raw and unprocessed seismic data, and field magnetic tapes and associated support data, if available and recoverable, within the AMI that is (i) owned or licensed by BUCCANEER or EOS, or (ii) that is generated or commissioned by BUCCANEER or EOS pursuant to arrangements finalized after the Effective Date; provided, in each case, such grant will be delivered only to the extent any such data is transferable under its applicable underlying license agreement, if any, and subject to any Confidentiality or other agreements which may be applicable.
Seismic DataTo the extent the Purchaser wishes to acquire the Vendor’s seismic data for the entire seismic lines where such lines touch or cross the lands within the area cross-hatched on Schedule “H” (the “Seismic Data”), and to the extent the Vendor is permitted to do so, the Vendor will co-operate in providing the Purchaser with a licence or a copy, as applicable, of the Seismic Data at the Purchaser’s sole expense. For the Vendor’s proprietary Seismic Data, the Vendor will provide the Purchaser with a licence to such proprietary Seismic Data, subject to any third party consent requirements, upon the terms of the Vendor’s standard seismic licence agreement excluding any provision for the payment of fees. Such licence agreement shall provide that the Vendor shall not agree to a further disposition of an interest in such Seismic Data without the consent of the Purchaser. Where the Vendor holds a licensed copy, and where the licence permits, the Vendor will provide the Purchaser with a copy of the Seismic Data. The determination as to whether any particular Seismic Data will be provided to the Purchaser is solely within the Vendor’s discretion based on its interpretation of its obligations to third parties.
Seismic Data. If the MLP Group requires access to seismic data, interpretations, geological and/or geographic information to which MRD or any of its subsidiaries has access, (a) if MRD or any of its subsidiaries has the unrestricted right to provide such data or information to the MLP Group, MRD shall (or shall cause such subsidiary to) promptly provide such data or information to the MLP Group, and (if neither MRD nor any of its subsidiaries has the unrestricted right to provide such data or information, MRD shall (and shall cause any applicable subsidiary to) use all commercially reasonable efforts to obtain (at the MLP Group’s sole cost and expense) access to such data or information for the MLP Group.
