Product Regulatory Compliance. Product regulatory compliance for the “Snap-on Incorporated” branded products (including, without limitation, SNAP-ON, BLUE-POINT, XXXXXXXX, BAHCO, SIOUX and CDI) includes safety approvals and certifications, radio transmission certification, EMC compliance as well as environmental requirements including energy efficiency. From time to time, governmental authorities issue product-based directives that regulate product content in a manner which restricts ingredients or imparts a ban on the sale of non-compliant products or packaging in designated geographic regions. Examples include, without limitation, RoHS, WEEE, decaBDE, REACH and DMF regulations in the European Union, and Proposition 65 in California. In addition, Snap-on is subject to regulations regarding CONFLICT MINERALS as set forth in Section 13(p) of the Securities Exchange Act of 1934, and any rules and regulations promulgated from time to time with respect thereto (the “Conflict Minerals Rules”). Under no circumstances will banned substances be present in any Snap-on branded products, or used in the processes used to manufacture Snap-on branded products. Restricted substances that are not banned, should, if possible, be avoided and replaced with acceptable alternatives. To ensure there is no interruption in Snap-on’s supply chain, Snap-on requires its suppliers to comply with the product requirements applicable to the goods supplied based on the locations of Snap-on’s customers or ultimate end recipients .The Supplier will comply with all applicable product requirements, and will immediately notify Snap-on in a mailed writing or by e-mail, with a confirmed response of receipt, of any change in compliance (resulting from changes to the Product(s) or to the applicable requirements) that could impact Product supply or distribution. Supplier will also complete and sign specific Snap-on compliance surveys upon request, and agree to undergo periodic audits conducted by Snap-on, or by a third party designated by Snap-on, to verify compliance with applicable product requirements and to enable Snap-on to comply with its obligations under the Conflict Minerals Rules or other similar regulations. As requirements change, Supplier is also responsible for timely response to future compliance requests that may become enacted after the date of this Agreement. Product Regulatory Compliance. Each product distributed or sold by the Company or its Subsidiary since January 1, 2010 complies in all material respects with all applicable product safety standards of each applicable product safety agency, commission, board or other Governmental Entity. All products currently being manufactured, tested, processed, labeled, stored or distributed outside of the United States on behalf of the Company or its Subsidiary by third parties are being manufactured, tested, processed, labeled, stored, distributed and marketed in compliance with all applicable Laws, except where failure to do so has not had, and would not reasonably be expected to have, a Company Material Adverse Effect.
Product Regulatory Compliance. Goods delivered to S-A hereunder will be manufactured, labeled, certified and will perform in compliance with all applicable laws, regulations, standards and/or codes specified by S-A and as in effect for the goods intended use at the time of delivery. It shall be Seller’s responsibility to secure and maintain any and all certifications required for the goods purchased hereunder including goods privately labeled for S-A. (ii) There have been no Product recalls or withdrawals by any Governmental Authority. To the Knowledge of the Borrower, there are no Material design defects with respect to any Products. No Loan Party or Managed Entity has been required to file, nor has filed, a notification or other report with any Governmental Authority concerning actual or potential hazards with respect to any Product under any applicable Requirement of Law. (iii) No clinical trial or pre-clinical trial for which any Loan Party, Subsidiary or Managed Entity has any regulatory responsibilities under the FDCA, the Food and Drugs Act (Canada) or the Food and Drug Regulations (Canada) has been suspended, put on hold, or terminated prior to completion by the FDA or any other Governmental Authority as a result of any failure to perform, or violation of, such regulatory responsibilities by such Loan Party or Subsidiary.

Product Regulatory Compliance. Equipment delivered hereunder will be manufactured, labeled, certified and will perform in compliance with all applicable laws, regulations, standards and/or codes in effect for the Equipment intended use at the time of delivery. It shall be SELLER’s responsibility to secure and maintain any and all certifications required for the Equipment purchased hereunder including Equipment privately labeled for S-A. In order to ensure the relevant laws and regulations are satisfactorily met, SELLER agrees to: (a) Certify to S-A that the Equipment delivered hereunder is in compliance with regulations, laws, standards and/or codes; (b) Provide S-A and appropriate enforcement agencies with Manufacturer’s Declarations of Conformity or other specified certification(s) declaring evidence of SELLER’s compliance with specified standards; (c) Ensure that the Equipment continues to meet the S-A specified compliance levels during the period over which such Equipment is supplied to S-A; (d) Advise S-A of any changes impacting the product regulatory compliance status of Equipment during the production thereof; (e) Archive and maintain product regulatory compliance records for a period of ten (10) years from the date of the final shipment of Equipment to S-A. Such records shall include: schematics, Bills of Materials, theory of operation sufficient to understand the schematics, data sheets, specifications, user manuals, engineering test results, laboratory test results evidencing compliance with specified standards, laboratory test certificates, and manufacturer’s declaration of conformity;
