Seller’s Agents. Customer acknowledges that it has been advised that no agent, employee, representative or dealer of Seller has any authority to bind Seller to any affirmation, promise, representation, or warranty concerning any of the products and, unless such affirmation, promise, representation, or warranty is specifically set forth in this Agreement, it does not form a basis of this bargain and shall not be enforceable against Seller.
Seller’s Agents. 16.1. SELLERS' AGENTS. Seller hereby irrevocably appoints Xxxxx X. Xxxxx, III, Xxxxxxx X. Xxxxxxxx, and Xxxxxxx X. Xxxxx (herein called the "Sellers' Agents") as his, her or its agent and attorney-in-fact to take any action required or permitted to be taken by Seller under the terms of this Agreement, including, without limiting, the generality of the foregoing, the payment of expenses relating to the transactions contemplated by the Agreement, and the right to waive, modify or amend any of the terms of this Agreement in any respect, whether or not material, and agrees to be bound by any and all actions taken by the Sellers' Agents on his or its behalf. Any action to be taken by the Sellers' Agents shall be unanimous. In the event of the death, incapacity or liquidation of any of Sellers' Agents, such person or entity shall not be replaced, and the remaining Sellers' Agents shall continue in that capacity. Seller agrees to indemnify the Sellers' Agents from and against and in respect of any and all liabilities, damages, claims, costs, and expenses, including, but not limited to attorneys' fees, arising out of or due to any action by them as the Sellers' Agents and any and all actions, proceedings, demands, assessments, or judgments, costs, and expenses incidental thereto, except to the extent that the same result from bad faith or gross negligence on the part of the Sellers' Agents. Purchaser shall be entitled to rely exclusively upon any communications given by the Sellers' Agents on behalf of Seller, and shall not be liable for any action taken or not taken in reliance upon the Sellers' Agents. Purchaser shall be entitled to disregard any notices or communications given or made by Seller unless given or made through the Sellers' Agents.

Seller’s Agents. BUYER ACKNOWLEDGES THAT IT HAS BEEN ADVISED THAT NO AGENT, EMPLOYEE, OR REPRESENTATIVE OF SELLER HAS ANY AUTHORITY TO BIND SELLER TO ANY AFFIRMATION, PROMISE, REPRESENTATION, OR WARRANTY CONCERNING ANY OF THE GOODS OR SERVICES, AND, UNLESS SUCH AFFIRMATION, PROMISE, REPRESENTATION, OR WARRANTY IS SPECIFICALLY SET FORTH IN THIS AGREEMENT, IT DOES NOT FORM A BASIS OF THIS BARGAIN AND SHALL NOT BE ENFORCEABLE AGAINST SELLER.
Seller’s Agents. The BCCM Agent, the Management Members’ Agent and the Carryholders’ Agent shall serve as the representative of, respectively, the BCCM Shareholders, the Management Members and the Carryholders with respect to all matters set forth in the respective Agency Agreement. Crompton shall act on its own behalf with respect to the Crompton Holdback. The duties and obligations of each Agent shall be determined solely by the express provisions of the respective Agency Agreement.
Seller’s Agents. Buyer may contact insurance agents or brokers selling HCSC, insurance or other healthcare contracts, or other products issued by Sellers for the purpose of engaging such agents or brokers to act on behalf of Buyer and its Affiliates to sell contracts and products in the same lines as such HCSC, insurance or other healthcare contracts after the Closing Date. Sellers shall (i) encourage each of the agents and brokers listed on Schedule 6.37 hereto, on or prior to the Closing Date, to execute and deliver to Buyer an agency agreement in form mutually acceptable to Buyer and Sellers, and (ii) issue to each such agent or broker a waiver in form mutually acceptable to Buyer and Sellers providing for the waiver by Sellers of any rights arising pursuant to existing agency agreements prohibiting any such agents or brokers from selling contracts and products in the same lines as such HCSC or insurance contracts on behalf of Buyer and its Affiliates.

Seller’s Agents. For the purpose of clauses 1 (for the purpose of the agreement on the terms of the [***] Milestone Stakeholder Deed and the Retention Amount Stakeholder Deed), 2.2, 3, 6.1, 6.3(b), 6.4(b) and 6.4(d), 10.2, 10.3, 11 and 22 of this Agreement, the Main Sellers and Management Sellers will act as agents of all the Sellers pursuant to an irrevocable power of attorney. For the purpose of clauses 1 and 5.5 of this Agreement, the Management Sellers will act as agents of the Sellers pursuant to an irrevocable power of attorney.
Seller’s Agents. Property Peddler, Inc., and Xxxxxx Xxxxxxxx Marquee Group, LLC d/b/a Xxxxxx Xxxxxxxx Marquee are agents of the Seller and not the Buyer.
