Seller’s Request for Development Security Refund. Seller shall provide Notice to Anaheim of its request for a refund of Development Security based upon either of the following: (a) Termination pursuant to Sections 2.04(a)(i), 2.04(a)(ii), 2.04(a)(ii) or 5.05; or (b) Seller has completed installation of Inverter Block Units pursuant to the Generating Facility and Site Description set forth in EXHIBIT B.

Seller’s Request for Development Security Refund. Seller shall provide Notice to Anaheim of its request for a refund of Development Security based upon either of the following: Termination pursuant to Sections Four.2(d)(i), Four.4(a)(i), Four.4(a)(ii), or Seven.5; or If Anaheim does not dispute Seller’s Notice of request for Development Security refund pursuant to Item 1(a) above, Anaheim shall return the Development Security to Seller, or Letter of Credit to the issuing bank, within fifteen (15) Business Days after such Notice, unless Anaheim provides timely Notice to Seller that additional days are required to substantiate data. Unless Anaheim provides timely Notice to Seller that additional days are required to substantiate data, Anaheim may within thirty (30) days after Seller’s Notice of request for Development Security refund pursuant to Item 1(b) in this Section: Complete a site visit to verify that the Generating Facility was developed in accordance with the Generating Facility and Site Description set forth in EXHIBIT B and to determine the Demonstrated Contract Capacity. Such Demonstrated Contract Capacity must be equal to the Generating Facility Capacity as calculated at that time. If the Demonstrated Contract Capacity as determined in Item 3(a) above is greater than or equal to the Contract Capacity, then Seller will qualify to receive a full return of the Development Security. If the Demonstrated Contract Capacity as determined in Item 3(a) above is less than the Contract Capacity, then Seller will qualify to receive a return of only a portion of the Development Security based upon the level of the Demonstrated Contract Capacity. Based upon the information in Item 3(a), calculate the amount of Development Security refund due Seller pursuant to Sections Five.6(e) and Five.6(f). Provide Notice to Seller of the amount of Development Security being returned pursuant to Item 3(d), the amount of Development Security forfeited, as applicable, and the reason(s) that a forfeiture of all or part of the Development Security is appropriate. Return the Letter of Credit to the issuing bank if the total amount of the posted Development Security is due Seller. If Seller is only entitled to a partial return of the Development Security Anaheim shall submit a drawing certificate on the Letter of Credit for the amount of Development Security forfeited by Seller, after which Anaheim shall release the remaining balance of the Letter of Credit.   • Borrowing/Election Notice The Borrower shall give the Administrative Agent an irrevocable Borrowing/Election Notice of each conversion of a Floating Rate Loan into a Eurodollar Rate Loan or continuation of a Eurodollar Rate Loan not later than 11:00 a.m. (Chicago time) three (3) Business Days prior to the date of the requested conversion or continuation, specifying: (i) the requested date (which shall be a Business Day) of such conversion or continuation; (ii) the amount and Type of the Loan to be converted or continued; and (iii) the amount of Eurodollar Rate Loan(s) into which such Loan is to be converted or continued, and the duration of the Interest Period applicable thereto.

  • Advance Request To obtain a Term Loan Advance, Borrower shall complete, sign and deliver an Advance Request (at least one (1) Business Day before the Closing Date and at least five (5) Business Days before each Advance Date other than the Closing Date) to Agent.   • Proceeds to be Turned Over To Administrative Agent In addition to the rights of the Administrative Agent and the Lenders specified in Section 6.1 with respect to payments of Receivables, if an Event of Default shall occur and be continuing, all Proceeds received by any Grantor consisting of cash, checks and other near-cash items shall be held by such Grantor in trust for the Administrative Agent and the Lenders, segregated from other funds of such Grantor, and shall, forthwith upon receipt by such Grantor, be turned over to the Administrative Agent in the exact form received by such Grantor (duly indorsed by such Grantor to the Administrative Agent, if required). All Proceeds while held by the Administrative Agent in a Collateral Account (or by such Grantor in trust for the Administrative Agent and the Lenders) shall continue to be held as collateral security for all the Obligations and shall not constitute payment thereof until applied as provided in Section 6.5.

  • Proper Instructions and Special Instructions “Proper Instructions,” which may also be standing instructions, as such term is used throughout this Agreement shall mean instructions received by the Custodian from a Fund, a Fund’s duly authorized investment manager or investment adviser, or a person or entity duly authorized by either of them. Such instructions may be in writing signed by the authorized person or persons or may be in a tested communication or in a communication utilizing access codes effected between electro-mechanical or electronic devices or may be by such other means and utilizing such intermediary systems and utilities as may be agreed from time to time by the Custodian and the person(s) or entity giving such instruction, provided that the Fund has followed any security procedures agreed to from time to time by the applicable Fund and the Custodian including, but not limited to, the security procedures selected by the Fund via the form of Funds Transfer Addendum hereto, the terms of which are hereby agreed to. Oral instructions will be considered Proper Instructions if the Custodian reasonably believes them to have been given by a person authorized to provide such instructions with respect to the transaction involved; the Fund shall cause all oral instructions to be confirmed in writing. For purposes of this Section, Proper Instructions shall include instructions received by the Custodian pursuant to any multi-party agreement which requires a segregated asset account in accordance with Section 2.9 hereof.

  • Annual Officer’s Certificate; Notice of Servicer Replacement Event (a) The Servicer will deliver to the Issuer, with a copy to the Indenture Trustee, on or before March 30th of each year, beginning on March 30, 2019, an Officer’s Certificate, dated as of December 31 of the immediately preceding year, providing such information as is required under Item 1123 of Regulation AB. (b) The Servicer will deliver to the Issuer, with a copy to the Indenture Trustee within five (5) Business Days after having obtained knowledge thereof written notice in an Officer’s Certificate of any event which with the giving of notice or lapse of time, or both, would become a Servicer Replacement Event. (c) The Servicer will deliver to the Issuer, on or before March 30th of each year, beginning on March 30, 2019, a report regarding the Servicer’s assessment of compliance with the Servicing Criteria specified in Exhibit C as applicable to the Servicer during the immediately preceding calendar year, including disclosure of any material instance of non-compliance identified by the Servicer, as required under paragraph (b) of Rule 13a-18, or Rule 15d-18 of the Exchange Act and Item 1122 of Regulation AB, or such other criteria as mutually agreed upon by the Seller and the Servicer.
