Selling Agents. Members of the National Association of Securities Dealers, Inc. (the "NASD") who shall agree to offer Units hereunder (herein referred to as "Selling Agents") will be allowed a commission of ten percent (10%) of the total sales price (i.e., $0.01 per Unit) and payable as hereinafter provided. No commission shall be earned or paid unless the Units are sold on or before _______________________ [90 days from the date of the Prospectus], which date may be extended for up to an additional 90 by the Company.

You shall furnish such information and other material relating to your affairs and activities as may be required by the Fund in connection with such qualifications.

(Including its affiliate Xxxxxx Commercial Paper Inc.), Xxxxxxx Xxxxx & Co., Xxxxxxx, Lynch, Pierce, Xxxxxx & Xxxxx Incorporated, Xxxxxx Xxxxxxx & Co., Incorporated and Xxxxxxx Xxxxx Barney Inc., as Selling Agents for the Notes by and under the terms of the Distribution Agreement, under which the Issuer may, from time to time, appoint other Selling Agents.
