Calculation Agents definition

Calculation Agents means the Persons that have entered into the Joint Calculation Agency Agreement with the Company and the Guarantor providing for, among other things, the determination of the Ending Value, the Price Multiplier, the Closing Market Price, the Redemption Amount any Market Disruption Events, any anti-dilution adjustments, any successor Underlying Stock, Business Days, Trading Days and Non-Calculation Days, which term shall, unless the context otherwise requires, include their successors under such Joint Calculation Agency Agreement. The initial Calculation Agents shall be Wells Fargo Securities, LLC and BofA Securities, Inc. Pursuant to the Joint Calculation Agency Agreement, the Company may appoint a different Calculation Agent from time to time after the initial issuance of this Security without the consent of the Holder of this Security and without notifying the Holder of this Security.
Calculation Agents means, initially, JPMorgan Chase Bank, N.A., London Branch, and Citibank, N.A., acting jointly, in accordance with Section 8.19, subject to Section 2.16.
