Services for Florida Food Service Operations. During the Term of this Agreement, Sellers will provide the transitional services described in this Section 2 for the benefit of the Xxxxx Xxx and/or Orlando Food Service Operations (collectively, the "Florida Food Service Operations"). These transitional services will include the resources reasonably necessary to maintain continuous operation of the Florida Food Service Operations in Florida in a manner substantially consistent with current practices. Sellers represent and warrant to Buyers that nothing contained in any of the agreements to which Sellers are a party prohibits Sellers from providing the Services, Systems and Support to Buyers as provided in Section 2 of this Agreement. These transitional services will include the resources reasonably necessary to maintain continuous operation of the Florida Food Service Operations in Florida in a manner substantially consistent with current practices. Sellers represent and warrant to Buyers that nothing contained in any of the agreements to which Sellers are a party prohibits Sellers from providing the Services, Systems and Support to Buyers as provided in Section 2 of this Agreement. For purposes of Section 2 of this Agreement, "Systems" is defined as the hardware and software located in Florida 7 <PAGE> or elsewhere necessary to support the transitional service process. "Services" is defined as providing substantially the same activities currently provided by SFI from its Commerce facility or by third parties that are necessary to continue the current business operations in the Florida Food Service Operations. "Support" is defined as the materials, communications and intervention necessary to continue operations substantially as they are presently conducted in the Florida Food Service Operations. All of the transitional services to be provided by Sellers pursuant to this Section 2 shall be provided consistent with historical practices in the Foodservice Operations and at levels substantially the same as presently provided with no unique services or support required except as specifically set forth herein. Sellers' obligations under this Section 2 also are subject to compliance with all applicable laws and regulations, and with all confidentiality agreements or obligations. Buyers agree to cooperate with Sellers and use their commercially reasonable efforts to promptly respond to Sellers' requests for information and action that may be required in order to facilitate Sellers' provision of transitional services hereunder. The transitional services to be provided by Sellers pursuant to this Section 2 are the following: A. Payroll Processing (1) ADP agreement feed through Commerce, California (Solely for start-up purposes and transition of payroll processing to Xxxxx Xxx Company) B.   • Food Services The School District will provide for all applicable Student meals as required by State and Federal law and School District rules and procedures as applicable when students attend a College site. Students may purchase food from College food service facilities when on the College campus.

  • Cloud Services You will not intentionally (a) interfere with other customers’ access to, or use of, the Cloud Service, or with its security; (b) facilitate the attack or disruption of the Cloud Service, including a denial of service attack, unauthorized access, penetration testing, crawling, or distribution of malware (including viruses, trojan horses, worms, time bombs, spyware, adware, and cancelbots); (c) cause an unusual spike or increase in Your use of the Cloud Service that negatively impacts the Cloud Service’s operation; or (d) submit any information that is not contemplated in the applicable Documentation.

  • ELECTRICAL SERVICES The Company must construct and reticulate electrical requirements for all amenities and facilities. The Company must construct sub-station and distribution boards necessary to reticulate power to all Company owned or leased facilities which provide amenities to the public. The electrical installation must be to the design and installation standards of the State Energy Commission of Western Australia. All electrical reticulation must be placed underground.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Managed Services HP will provide the services as described in a Statement of Work (“SOW”) attached to this Agreement or incorporating it by reference. Each party will appoint a single point of contact as set forth in the SOW who will serve as their primary representative, have overall responsibility for managing performance, and meet with the other party’s representative to review progress. Change requests are governed by the change management procedures as set forth in the SOW.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include: (a) administering, managing and maintaining Party A’s information application system and website system infrastructure; (b) providing system optimization plans and implementing optimization features; (c) assuring the security and reliability of the website application systems; (d) procuring, installing and supporting the relevant products produced by Party B, and providing training in the use of those products; (e) managing and maintaining all network and providing technologies to assure the reliability and efficiency thereof; (f) providing information technology services and assuring the reliable operation of the information infrastructure.

  • Surgery Services This plan covers surgery services to treat a disease or injury when: • the operation is not experimental or investigational, or cosmetic in nature; • the operation is being performed at the appropriate place of service; and • the physician is licensed to perform the surgery. This plan covers reconstructive surgery and procedures when the services are performed to relieve pain, or to correct or improve bodily function that is impaired as a result of: • a birth defect; • an accidental injury; • a disease; or • a previous covered surgical procedure. Functional indications for surgical correction do not include psychological, psychiatric or emotional reasons. This plan covers the procedures listed below to treat functional impairments. • abdominal wall surgery including panniculectomy (other than an abdominoplasty); • blepharoplasty and ptosis repair; • gastric bypass or gastric banding; • nasal reconstruction and septorhinoplasty; • orthognathic surgery including mandibular and maxillary osteotomy; • reduction mammoplasty; • removal of breast implants; • removal or treatment of proliferative vascular lesions and hemangiomas; • treatment of varicose veins; or • gynecomastia.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs.
