Settlement and Possession. Except as otherwise provided herein, Settlement will be made at the office of the Settlement Agent (as hereinafter defined), and will take place within Forty Five ( 45 ) days after the date of this Agreement, with the actual date of Settlement being referred to as the “Settlement Date”.
