Share Option Schemes. No adjustment will be made to the Conversion Price when Shares or other securities (including rights or options) are issued, offered, exercised, allotted, appropriated, modified or granted to, or for the benefit of, employees (including directors) of the Issuer or any of its Subsidiaries pursuant to any employee share scheme or plan (and which employee share scheme or plan is in compliance with the listing rules of the Relevant Stock Exchange).
Share Option Schemes. The Company has established share option schemes and, subject to the rules of such schemes, the Officer shall be eligible to participate in these schemes. The Officer hereby agrees and accepts that the grant of any option or other right pursuant to such schemes or the termination or variation of such schemes shall not constitute or give rise to any claim or right of action against the Company under this Contract in respect of such grant, termination or variation.
Share Option Schemes. No adjustment will be made to the Floor Price where Ordinary Shares or other Securities (including rights, warrants and options) are issued, offered, exercised, allotted, purchased, appropriated, modified or granted to, or for the benefit of, employees or former employees (including Directors holding or formerly holding executive office or the personal service company of any such person) or their spouses or relatives, in each case, of CSG or any of its Subsidiaries or any associated company or to a trustee or trustees to be held for the benefit of any such person, in any such case pursuant to any share or option scheme.
(i) Rounding Down and Notice of Adjustment to the Floor Price
Share Option Schemes. The Company does not operate any approved or unapproved share option or profit sharing schemes and is not a participating company for the purposes of any such scheme.

Share Option Schemes. 5.1 M-R and Lason undertake that an explanatory letter in agreed terms will be sent to holders of options under the Share Option Schemes explaining their entitlement, where appropriate, to exercise their options.
5.2 M-R and Lason undertake to use reasonable endeavors to implement arrangements in accordance with the attached document in the agreed form.
5.3 Lason shall use all reasonable endeavors to prepare and file with the SEC a registration statement on Form S-8 or other appropriate form with respect to Consideration Common Stock received pursuant to the Share Option Schemes and to maintain effectiveness of such registration statement or registration statements covering such Share Option Schemes (and maintain the current status of the prospectus contained therein) for so long as options under such Share Option Schemes remain outstanding.
Share Option Schemes. No adjustment will be made to the Floor Price if Ordinary Stock or Other Securities (including pre-emptive rights, options or warrants in relation to Ordinary Stock or Other Securities) are issued, offered or granted to, or for the benefit of, directors or employees, or former directors or employees, of the Issuer or any of its Subsidiaries or any associated company or to trustees to be held for the benefit of any such person in any such case pursuant to any employee share or option scheme which, if required, has been approved by Stockholders.
Share Option Schemes. The Executive will within a reasonable time of the date of this Agreement be granted options over shares of TeleWest having a value of four times the salary payable to the Executive pursuant to clause 4 at the date of grant under and subject to the terms of the TeleWest No.1 Share Option Scheme and the TeleWest No.2 Share Option Scheme.
