Signatories and Counterparts. Any Person executing the Agreement or any such related document on behalf of a corporate signatory warrants and promises for the benefit of all Parties that he or she has been duly authorized by such corporation to execute the Agreement or any such related document. The signatories hereby represent that they are fully authorized to enter into the Agreement and bind the Parties hereto to the terms and conditions hereof.   • Signatures and Counterparts Facsimile transmission of any signed original document and/or retransmission of any signed facsimile transmission shall be the same as delivery of an original. At the request of Buyer or the Selling Parties, the parties will confirm facsimile transmission by signing a duplicate original document. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall be considered one and the same agreement.
