Sites and Customers. (a) Seller shall execute all necessary forms, documentation, and agreements in order to secure all Sites and/or Customers necessary to deliver Distribution Services to Buyer from the Project. The terms and conditions of the agreements Seller executes for each Site, and with each Customer, as applicable, are independent of Buyer, and Buyer shall not have any responsibility or incur any liability pursuant to such agreements.

Sites and Customers. (a) Seller shall execute all necessary forms, documentation, and agreements in order to secure all Sites and/or Project Customers necessary to deliver Energy Efficiency Services to Buyer from the Project. Seller shall be responsible to verify that the each Project Customer has the requisite authority and permission from the Site owner to implement the Project, to monitor that the implementation of the Project complies with all laws, including any regulatory or other license workforce requirements to perform any work for a Project Customer, and that Seller is responsible to collect all Project documentation that includes, but is not limited to, certifications for each Project Customer as applicable and required under Public Utilities Code Section 399.4(b)(1) and (2). Seller shall include in its Customer Agreement terms and conditions that (i) all Project information is subject to CPUC Disclosure upon request and (2) the Project Customer agrees to be contacted by Xxxxx, in the event Xxxxx wants to contact the Project Customer to survey them about their Project participation. Buyer shall not have any responsibility or incur any liability pursuant to the agreements Seller executes for each Site and with each Project Customer (“Customer Agreements”) or with the implementation of the Project.

  • Business Customers These Terms and Conditions apply to business customers only.

  • Customers The names of your customers will remain your sole property and will not be used by us except for servicing or informational mailings and other correspondence in the normal course of business.

  • Products and Services General Information The Vendor Agreement (“Agreement”) made and entered into by and between The Interlocal Purchasing System (hereinafter “TIPS”) a government cooperative purchasing program authorized by the Region 8 Education Service Center, having its principal place of business at 0000 XX Xxx 000 Xxxxx, Xxxxxxxxx, Xxxxx 00000 and the TIPS Vendor. This Agreement consists of the provisions set forth below, including provisions of all attachments referenced herein.   • Vendors (a) Section 4.28(a) of the Company Disclosure Letter sets forth, as of the date of this Agreement, the top 10 vendors, suppliers and service providers based on the aggregate Dollar value of the Company and its Subsidiaries’ transaction volume with such counterparty during the trailing twelve (12) months for the period ending December 31, 2022 (the “Top Vendors”).

  • Customers and Suppliers (a) Section 3.15(a) of the Disclosure Schedules sets forth (i) each customer who has paid aggregate consideration to the Company for goods or services rendered in an amount greater than or equal to $25,000 for each of the two most recent fiscal years (collectively, the “Material Customers”); and (ii) the amount of consideration paid by each Material Customer during such periods. The Company has not received any notice, and has no reason to believe, that any of its Material Customers has ceased, or intends to cease after the Closing, to use its goods or services or to otherwise terminate or materially reduce its relationship with the Company.

  • Suppliers While employed by the Company, and for one (1) year thereafter, Employee shall not cause or induce, or attempt to cause or induce, any person or firm supplying goods, services or credit to the Company or any of its affiliates to diminish or cease furnishing such goods, services or credit.

  • Third Party Products and Services Through its Product(s), Palo Alto Networks may make available to you third-party products or services (“third-party apps”) which contain features designed to interoperate with our Products. To use such features, you must either obtain access to such third-party apps from their respective providers or permit Palo Alto Networks to obtain access on your behalf. All third-party apps are optional and if you choose to utilize such third-party apps:

  • Products Products available under this Contract are limited to Software, including Software as a Service, products and related products as specified in Appendix C, Pricing Index. Vendor may incorporate changes to their product offering; however, any changes must be within the scope of products awarded based on the posting described in Section 1.B above. Vendor may not add a manufacturer’s product line which was not included in the Vendor’s response to the solicitation described in Section 1.B above.

  • Clients in this context, clients are people who are dependent upon the caring skills and services of the local authority, for example, the elderly, mentally infirm, those with mental or physical impairments. Clients in this context also include those whose needs are identified and catered for in settings such as schools and nurseries, that is, young children and school pupils dependent on the organisation for their educational and developmental welfare. Clients exclude internal authority customers (as in client departments) or external customers (for example, members of the public with planning applications), because neither are dependent on the local authority for their care and welfare. The exceptional needs of clients refer to those which are exceptionally demanding, not to those which are out of the ordinary.

  • To Customer To the extent Goods or any of their substances fall within the scope of other chemical control regulations, Supplier confirms and represents that the Goods or any of their substances, are fully compliant with these regulations.
