Soil Toxicity Sample Clauses

Soil Toxicity. (a) Landlord and Tenant recognize that preliminary soils reports indicate the presence of certain toxic substances on the Adjacent Tract. Although the preliminary soils reports indicate that such levels are below maximum allowable governmental limits, the specific nature and extent of such conditions are not sufficiently established at this time. In the event Landlord reasonably determines, based on soils analysis and sound engineering principles, that the additional cost to Landlord to correct and meet applicable governmental requirements with respect to toxic substances present on the Adjacent Tract exceeds Five Million Dollars ($5,000,000), Landlord may elect to terminate its project on the Adjacent Tract and, if so, the Lease, upon fifteen (15) days' prior notice to Tenant. In the event Landlord has (i) not provided such notice on or before one hundred fifty (150) days after the Effective Date, or (ii) delivered the Leased Premises to Tenant, Landlord shall be deemed to have waived this right of termination. Landlord agrees to notify Tenant as soon as reasonably practicable whether or not it will elect to waive this condition and proceed. Notwithstanding the foregoing, Tenant shall not be obligated to comply with the provisions of Section 2.06 unless Landlord waives this right of termination. In the event Landlord elects to terminate the Lease in accordance with the provisions of this Section, Landlord agrees to reimburse Tenant for all reasonable out-of-pocket costs incurred by Tenant from and after the Effective Date to the date of such termination.
