SPARE PARTS AND ACCESSORIES. 900168 TRIDENT REACTION CASSETTE WITH 48 REACTION VESSEL ASSEMBLIES 900165 TRIDENT EXTERNAL AGITATION-THERMAL UNIT [ARGONAUT TECHNOLOGIES LETTERHEAD] 30 FIRST AMENDMENT This is the First Amendment to the Purchase and License Agreement between Argonaut Technologies, Inc., and Zeneca Inc., with an Effective Date of October 30th, 1998. ("the Agreement") relating to the purchase of Trident Automation Library System products. If any inconsistency exists between the terms of the Agreement and the terms of this Amendment, then the terms of this Amendment shall control. The following modifications shall be made to the Agreement.

SPARE PARTS AND ACCESSORIES. All new PEUGEOT Automobiles Australia replacement parts or accessories purchased where a customer has contributed towards the cost are covered by a 12 month, unlimited kilometres warranty from the date of sale by the Dealer to the customer. During the warranty period PEUGEOT Automobiles Australia will replace or repair free of charge all new genuine PEUGEOT Automobiles Australia replacement parts or accessories provided that:
SPARE PARTS AND ACCESSORIES. (i) The Manufacturing Party represents that it has or will obtain the production and delivery capability to supply the Purchasing Party with appropriate kinds and amounts of spare parts and accessories to enable the Purchasing Party to make timely repairs thereof and permit continued operation of the instruments provided purchase orders with reasonable delivery dates and agreed prices are presented to the Manufacturing Party. The Purchasing Party shall have the right to make inspections of suppliers to insure the foregoing on reasonable notice and during reasonable business hours. (ii) The Manufacturing Party further agrees that spare parts or accessories will continue to be furnished to the Purchasing Party for a period of seven (7) years following delivery of the last instrument product purchased under this Agreement. If at any time during the term of this Agreement, any extension thereof or during the seven (7) year period from the date of the delivery of the last instrument product purchased delivered hereunder, the Manufacturing Party fails to deliver spare parts or accessories as agreed herein, the Purchasing Party shall automatically be licensed to manufacture the same or have such accessories and/or spare parts made for it for such time as the Manufacturing Party is unable to supply such items pursuant to this Agreement. The Manufacturing Party shall furnish the Purchasing Party pursuant to Section 8 with all drawings, formulas, vendors' lists, know-how and any other information and documentation required to permit the Purchasing Party or its subcontractor to manufacture said accessories and/or and spare parts for the period during which the Manufacturing Party was obligated but was unable to supply such products and spare parts hereunder.

  • Accessories, Spare Parts and Tools Accessories, spare parts and tools dispatched with a piece of equipment, machine, apparatus or vehicle, which are part of the normal equipment and included in the price thereof or which are not separately invoiced, shall be regarded as one with the piece of equipment, machine, apparatus or vehicle in question.

  • All new supplies equipment and services shall include manufacturer's minimum standard warranty unless otherwise agreed to in writing. Vendor shall be legally permitted to sell all products offered for sale to TIPS Members. All goods proposed and sold shall be new unless clearly stated in writing. The Vendor shall provide timely and accurate customer support for orders to TIPS Members as agreed by the Parties. Vendors shall respond to such requests within a commercially reasonable time after receipt of the request. If support andƒor training is a line item sold or packaged with a sale, support shall be as agreed with the TIPS Member. Most TIPS Members are tax exempt and the related laws andƒor regulations of the controlling jurisdiction(s) of the TIPS Member shall apply. No assignment of Agreement may be made without the prior notification of TIPS. Written approval of TIPS shall not be unreasonably withheld. Payment for delivered goods and services can only be made to the awarded Vendor, Vendor designated reseller or vendor assigned company.

  • Spares The Contractor shall ensure that the Contractor’s operational base at the Site is at all times stocked with spare parts for the Contractor's Equipment that meet the requirements of the Contract, together with all necessary or desirable packing and marking for that purpose and that such spare parts are sufficient to ensure that the Work /services can continue in the event of failure of the Contractor’s Equipment.

  • Inspection and Access Landlord and its agents, representatives, and contractors may enter the Premises at any reasonable time to inspect the Premises and to make such repairs as may be required or permitted pursuant to this Lease and for any other business purpose. Landlord and Landlord’s representatives may enter the Premises during business hours on not less than 48 hours advance written notice (except in the case of emergencies in which case no such notice shall be required and such entry may be at any time) for the purpose of effecting any such repairs, inspecting the Premises, showing the Premises to prospective purchasers and, during the last year of the Term, to prospective tenants or for any other business purpose. Landlord may erect a suitable sign on the Premises stating the Premises are available to let or that the Project is available for sale. Landlord may grant easements, make public dedications, designate Common Areas and create restrictions on or about the Premises, provided that no such easement, dedication, designation or restriction materially, adversely affects Tenant’s use or occupancy of the Premises for the Permitted Use. At Landlord’s request, Tenant shall execute such instruments as may be necessary for such easements, dedications or restrictions. Tenant shall at all times, except in the case of emergencies, have the right to escort Landlord or its agents, representatives, contractors or guests while the same are in the Premises, provided such escort does not materially and adversely affect Landlord’s access rights hereunder.

  • Spare Parts 14.1 As specified, the supplier may be required to provide any or all of the following materials, notifications, and information pertaining to spare parts manufactured or distributed by the supplier: (a) such spare parts as the purchaser may elect to purchase from the supplier, provided that this election shall not relieve the supplier of any warranty obligations under the contract and; (b) In the event of termination of production of the spare parts: (i) advance notification to the purchaser of the pending termination, in sufficient time to permit the purchaser to procure needed requirements and; (ii) Following such termination, furnishing at no cost to the purchaser, the blueprints, drawings, and specifications of the spare parts, if requested.

  • Equipment and Supplies Independent Contractor, at Independent Contractor's sole expense, shall provide all equipment, tools and supplies necessary to perform the Service.

  • Records Maintenance and Access Grantee must maintain all financial records relating to this Grant in accordance with generally accepted accounting principles. In addition, Grantee must maintain any other records, whether in paper, electronic or other form, pertinent to this Grant in such a manner as to clearly document Grantee’s performance. All financial records and other records, whether in paper, electronic or other form, that are pertinent to this Grant, are collectively referred to as “Records.” Grantee acknowledges and agrees Agency and the Oregon Secretary of State's Office and the federal government and their duly authorized representatives will have access to all Records to perform examinations and audits and make excerpts and transcripts. Grantee must retain and keep accessible all Records for a minimum of six (6) years, or such longer period as may be required by applicable law, following termination of this Grant, or until the conclusion of any audit, controversy or litigation arising out of or related to this Grant, whichever date is later.

  • Selection of Subcontractors, Procurement of Materials and Leasing of Equipment The contractor shall not discriminate on the grounds of race, color, religion, sex, national origin, age or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall take all necessary and reasonable steps to ensure nondiscrimination in the administration of this contract. a. The contractor shall notify all potential subcontractors and suppliers and lessors of their EEO obligations under this contract. b. The contractor will use good faith efforts to ensure subcontractor compliance with their EEO obligations.
