SPARE PARTS CREDITS. 5.1 To assist New Air with procuring its stock of Initial Provisioning Spare Parts from IAE, IAE will credit New Air's account with IAE in the amount of U.S.[****] (January 1999 Dollars) in January 2000 following the delivery and acceptance by New Air of its first Leased Aircraft in accordance with the delivery schedule attached as Schedule B1 to this Contract, or if New Air has not taken such Leased Aircraft in accordance with such delivery schedule, then the date two months after the date of the delivery and acceptance by New Air of its first Leased Aircraft, but in no event prior to January 2000. Such credit shall be used by New Air for the purchase of Initial Provisioning Spare Parts from IAE.

SPARE PARTS CREDITS. To assist JetBlue with procuring its stock of Spare Parts from IAE, IAE will credit JetBlue's account with IAE in the amount of U.S.[****] (January 2000 Dollars) following the delivery and acceptance by JetBlue of its the thirty-fourth ranked aircraft in accordance with the delivery schedule attached as Exhibit B-1 to this Contract. Such credit shall be used by JetBlue for the purchase of Spare Parts or spare Engines from IAE and shall be escalated using the IAE Escalation formula set forth in Exhibit B-2 to the Contract from a base month of January 2000. In addition, IAE to further assist JetBlue with procuring its stock of Spare Parts from IAE, IAE will credit JetBlue's account with IAE in the amount of U.S.[****] (January 2000 Dollars) following the delivery and acceptance by JetBlue of every fifth aircraft of the Firm and Option Aircraft following the thirty-third ranked aircraft in accordance with the delivery schedule attached as Exhibit B-1 to this Contract (e.g., the aircraft ranked no. 38, 43, etc.). Such credits shall be used by JetBlue for the purchase of Spare Parts or spare Engines from IAE and shall be escalated using the IAE Escalation formula set forth in Exhibit B-2 to the Contract from a base month of January 2000.

  • Spare Parts Contractor shall be responsible for obtaining vendor recommendations for spare parts and delivering such recommendations and spare parts to Owner in accordance with Section 3.4 of the Agreement.

  • Spares Boeing will revise, as applicable, the customized Recommended Spares Parts List (RSPL) and Illustrated Parts Catalog (IPC).

  • Tooling Inventory that consists of tooling or replacement parts;

  • Changes in Equipment, Systems, Etc USBFS reserves the right to make changes from time to time, as it deems advisable, relating to its systems, programs, rules, operating schedules and equipment, so long as such changes do not adversely affect the services provided to the Trust under this Agreement.

  • Product Availability The Insurance Companies have qualified the Products for offer and sale under the applicable insurance laws of various states and other jurisdictions. Producers and Registered Representatives shall solicit applications for the Products only in states and jurisdictions where such Products have been so qualified. Producers shall, upon request, be provided with a list of those states and jurisdictions in which the Products have been qualified for sale. The Insurance Companies shall file and make all statements or reports as are or may be required by the laws of such state or jurisdiction to maintain these qualifications in effect.

  • Inventory To the extent Inventory held for sale or lease has been produced by any Borrower, it has been and will be produced by such Borrower in accordance with the Federal Fair Labor Standards Act of 1938, as amended, and all rules, regulations and orders thereunder.

  • Equipment, Etc Each Grantor shall, (i) within ten (10) days after a written request by the Administrative Agent, in the case of Equipment now owned, and (ii) following a request by the Administrative Agent pursuant to subclause (i) above, within ten (10) days after acquiring any other Equipment, deliver to the Administrative Agent, any and all certificates of title, and applications therefor, if any, of such Equipment and shall cause the Administrative Agent to be named as lienholder on any such certificate of title and applications. No Grantor shall permit any such items to become a fixture to real estate or an accession to other personal property unless such real estate or personal property is the subject of a fixture filing (as defined in the UCC) creating a first priority perfected Lien in favor of the Administrative Agent.

  • Administrative Support Service Fees Within forty-five (45) days of the end of each calendar quarter, the Fund will make payments in the aggregate amount of 0.0625% (0.25% on an annual basis) of the average during that calendar quarter of the aggregate net asset value of the Shares computed as of the close of each business day (the "Service Fee"). Such Service Fee payments received from the Fund will compensate the Distributor for providing administrative support services with respect to Accounts.
