Start-up Payment. The Start-up Payment for each Start-up successfully completed for each Unit operating under Condition 2 equals the Start-up Cost calculated using Equation D-1.

Start-up Payment. Buyer shall pay Seller a Monthly Start Payment or “MSP” equal to the product of the Start Price (“SP”) of $1,000.00 per successful start of the Unit times the number of successful starts of the Unit in the month in response to a start request from Buyer. A start is deemed successful where the Unit has either: (i) reached its Final Physical Energy Schedule or (ii) the Unit is in a steady state of operation for one (1) hour following the initiation of the start sequence (“Successful Start”). Buyer is not obligated to pay the Start Price for unsuccessful starts or for starts not requested by Buyer. Buyer is entitled to no more than two (2) Successful Starts per day.
Start-up Payment. For Proposals without an Equity Component, KBI Biopharma requires payment of an initial fee of one third of the Cash Component portion of the service fees specified in the Proposal, prior to commencement of Services, to account for facilities preparation costs and resource allocation commitments with respect to Client’s project(s). Initial fees are due upon execution of this Agreement or the applicable Proposal, whichever occurs later. The initial fee shall be applied on a one-third pro rata basis to the invoices in the order received. As an example, a charge of $3,000 would be satisfied by application of $1,000 from the existing initial fee balance and an additional payment by Client of $2,000. Upon termination of a Proposal or this Agreement, any remaining portion of the initial fee shall be applied to any outstanding amounts due from Client under the applicable Proposal. Unless otherwise provided in this Agreement or the applicable Proposal, initial fees are non-creditable, nonrefundable, non-transferable to apply to any Services other than under the applicable Proposal. Start-up Payment. In respect of each Cold Start and Hot Start of each Unit following a Shutdown of such Unit required by a Scheduling and Dispatch Notice in excess of an aggregate of [104] [52] for each Contract year, ESI shall pay the applicable Start-up Payment set forth in Schedule [5.3] hereto.
