Preparation Costs definition

Preparation Costs as defined in Section 6.5.1.
Preparation Costs means the FTEs and [***] in performing the Preparation Activities with respect to a Program; provided, however, (a) such FTE time shall not exceed [***], and [***], (b) in the event of termination of this Agreement with respect to a Program under Sections 13.1, 13.2 or 13.3, any Preparation Costs incurred with respect to [***] for such Program shall be applied to the other Program at ▇▇▇▇▇’▇ request if such Preparation Costs have not at such time been incurred for such other Program, and (c) if this Agreement terminates in its entirety pursuant to Sections 13.1, 13.2 or 13.3, and Exicure [***].
Preparation Costs means the entire cost and expense of preparing the Registration Statement, including, without limitation, all printing expenses, the fees and expenses of Buyer's counsel and its independent accountants, all other out-of-pocket expenses incident to the preparation and printing of the Registration Statement and all amendments and supplements thereto, the cost of furnishing copies of each preliminary prospectus, each final prospectus and each amendment or supplement thereto to underwriters, brokers and dealers and other purchasers of the Registrable Shares included in the Registration Statement and the costs and expenses incurred in connection with the qualification of the Registrable Shares included in the Registration Statement under Blue Sky or other state securities laws of such jurisdictions within the United States as Steiner may request under Section 6.4.1, (ii) "Registration Costs" means all registration and filing fees payable to the SEC or any state securi▇▇▇▇ ▇▇w agency, and (iii) "Seller Costs" means the fees and expenses of counsel and accountants of any or all of the Sellers and all transfer taxes, and all underwriting discounts and commissions and other fees and expenses of investment bankers and managers, and all discounts and commissions charged by any broker engaged by Sellers to effect a block trade which are not paid by Buyer under Section 6.6.

  • The Poles/Innerduct Verification/ROW Access Agreement Preparation Costs Quotation will be valid for thirty (30) calendar days from the date of quotation.

Preparation Costs means the entire cost and expense of preparing the Registration Statement, including, without limitation, all printing expenses, the fees and expenses of Chiquita's counsel and its independent accountants, the fees and expenses of counsel and accountants of the Selling Shareholders in an amount up to $7,500, all other out-of-pocket expenses incident to the preparation and printing of the Registration Statement and all amendments and supplements thereto, the cost of furnishing copies of each preliminary prospectus, each final prospectus and each amendment or supplement thereto to underwriters, brokers and dealers and other purchasers of the Registration Shares, and the costs and expenses incurred in connection with the qualification of the Registration Shares under Blue Sky or other state securities laws of such jurisdictions within the United States as the Shareholders Representatives reasonably request, (b) "Registration Costs" means all registration and filing fees payable to the Commission or any state securities law agency, and (c) "Selling Shareholder Costs" means the fees and expenses of counsel and accountants of the Selling Shareholders in excess of $7,500 and all transfer taxes, underwriting discounts and commissions attributable to Registration Shares.
Preparation Costs shall have the meaning set forth in Section 7.7(c).
