Address changes shall be made by written notice and shall be effective thereafter. All such communications, to be considered effective, shall include the number of this CRADA. The effective date of this CRADA shall be the latter date of (1) the date on which it is signed by the last of the Parties, or (2) the date on which it is approved by DOE. The work to be performed under this CRADA shall be completed within ________ months/years from the effective date. The Participant's estimated contribution is $________. No work will begin before the receipt of a cash advance and all required DOE approvals. Failure of Participant to provide the necessary advance funding is cause for termination of the CRADA in accordance with the Termination article of the CRADA. No Party shall have an obligation to continue or complete performance of its work at a contribution in excess of its estimated contribution as contained in Article II.D., above, including any subsequent amendment.

The Parties will define the objectives and scope of work for this CRADA through a series of individual Project specific (and subproject specific) Task Orders that will each have a statement of work to be performed, a budget (including costs and payments), net benefits statement, and any additional or modified terms applicable to each Project. Each Task Order will be required to be executed by the Parties and approved by DOE. Once fully executed and approved, Task Orders will become legally binding parts of the CRADA and will become additional Annexes to this CRADA.

B. The effective date of this CRADA shall be the latter date of: (1) the date on which it is signed by the last of the Parties; or (2) the date on which it is approved by DOE. The work to be performed under this CRADA shall be completed within ?? (XX) months from the effective date.

D. For CRADAs that include (non-Federal) funding on a funds-in basis, the Participant shall provide Contractor, prior to any work being performed, a budgetary resource sufficient to cover the anticipated work that will be performed during the first billing cycle. In addition, the Participant shall provide sixty (60) days of additional funding to ensure that funds remain available for project during subsequent billing cycles. Failure of Participant to provide the necessary advance funding is cause for termination of this CRADA in accordance with Article XIII of this CRADA. A billing cycle is the period of time between xxxxxxxx, usually thirty (30) days. The billing cycle is complete when the customer is billed for services rendered.

B. Notwithstanding the above, the Contractor may elect to temporarily authorize use of its own funds to enable the start of work prior to the receipt of Participant's advance payment required in this Article. The temporary use of the Contractor’s funds does not relieve the Participant’s requirement to provide the advance payment on a timely basis as required in this Article and any costs charged to the Contractor’s temporary funds shall be allowable and reimbursable by the Participant under this CRADA. If the Contractor’s funds are used, the effective date shall be the date the funds are approved.
C. The Participant's estimated contribution is $ that includes $ funds-in and $ in- kind. The Government's estimated contribution provided through the Contractor’s contract with DOE is $ , subject to available funding. The Lab Embedded Entrepreneurship Program (LEEP) does not initially anticipate any funds-in contributions from the Participant, and any change will be reflected in an amendment to this CRADA. Furthermore, if the Participant accounts for its Background Intellectual Property as part of its contribution to this CRADA, such accounting does not transfer any rights in such Background Intellectual Property to either the Government or Contractor.

No work will begin before the receipt of a cash advance. Failure of the Participant to provide the necessary advance funding is cause for termination of the CRADA. Participant will provide $ advance funds prior to commencement of work.
