Subordination of Subsidiary Guaranties. SECTION 1601. Agreement to Subordinate. Each Subsidiary Guarantor agrees, and each Noteholder by accepting an 8 3/8% Note agrees, that the payment of such Subsidiary Guarantor's Subsidiary Guaranty (including any amounts in respect of the principal of, premium, if any, or interest on the 8 3/8% Notes and any other payment obligation in respect of the 8 3/8% Notes, including any obligation of the Company to purchase 8 3/8% Notes) is subordinated in right of payment, to the extent and in the manner provided in this Article Sixteen, to the prior payment in full of all Senior Indebtedness of such Subsidiary Guarantor, including such Subsidiary Guarantor's Guarantee of Senior Indebtedness of the Company, and that the subordination is for the benefit of and shall be enforceable directly by the holders of such Senior Indebtedness. The Guarantied Obligations of a Subsidiary Guarantor shall in all respects rank pari passu with all other Senior Subordinated Indebtedness of such Subsidiary Guarantor and only Indebtedness of such Subsidiary Guarantor that is Senior Indebtedness of such Subsidiary Guarantor shall rank senior to the Guarantied Obligations of such Subsidiary Guarantor in accordance with the provisions set forth herein. All provisions of this Article Sixteen shall be subject to Section 1612.

Subordination of Subsidiary Guaranties. The Obligations of each Guarantor under its Guarantee pursuant to this Article Eleven shall be general unsecured obligations and junior and subordinated to the Senior Guarantee of such Guarantor on the same basis as the Notes are junior and subordinated to Senior Debt of the Company. For the purposes of the foregoing sentence, the Trustee and the Holders shall have the right to receive and/or retain payments by any of the Guarantors only at such times as they may receive and/or retain payments in respect of the Notes pursuant to this Indenture, including Article Ten hereof.
