Supply of Customer Information and Customer Materials. Customer shall supply to Lonza all Customer Information and Customer Materials and other information or materials that may be reasonably required by Lonza to perform the Services. Lonza shall not be responsible for any delays arising out of Customer’s failure to provide such Customer Information, Customer Materials, or other information or materials reasonably required to perform the Services to Lonza, and [***]. Lonza hereby undertakes not to use the Customer Materials or Customer Information (or any part thereof) for any purpose other than the performance of the Services under this Agreement. With respect to any Customer Materials, title shall remain with the Customer and shall not transfer to Lonza.
Supply of Customer Information and Customer Materials. Customer shall supply to Lonza all Customer Information and Customer Materials and other information or materials that may be reasonably required by Lonza to perform the Services. Lonza shall not be responsible for any delays arising out of Customer’s failure to provide such Customer Information, Customer Materials, or other information or materials reasonably required to perform the Services to Lonza, and Customer shall be responsible for all additional costs and expenses arising out of such delay, including, if applicable, any idle Facility capacity costs.

Lonza shall not be responsible for any delays arising out of Customer’s failure to provide such Customer Information, Customer Materials, or other information or materials reasonably required to perform the Services to Lonza, and [***]. For the avoidance of doubt, Lonza shall be responsible for shipment of Polysaccharide-CRM12 conjugates (the Antigens) from the Lonza Visp facility to the drug product manufacturing Facility. Lonza hereby undertakes not to use the Customer Materials or Customer Information (or any part thereof) for any purpose other than the performance of the Services under this Agreement. With respect to any Customer Materials, title shall remain with the Customer and shall not transfer to Lonza.
Supply of Customer Information and Customer Materials. Customer shall supply to Lonza all Customer Information and Customer Materials and other information and/or materials that may be reasonably required by Lonza to perform the Services, in each case as identified in the Master Batch Record, and hereby grants Lonza the non-exclusive right to use the Cell Line, the Customer Materials and the Customer Information for the purpose of this Agreement. Lonza shall not be responsible for any delays arising out of Customer’s failure to provide Lonza such Customer Information, Customer Materials or other information or materials as set forth in the Master Batch Record, and Customer shall be responsible for all additional costs and expenses arising out of such delay; provided that Lonza shall promptly give Customer notice if any such failure is preventing and/or delaying Lonza’s performance. Lonza shall not use the Cell Line, Customer Materials and/or Customer Information (and/or any part thereof) for any purpose other than the performance of the Services under this Agreement.

Customer shall (by such date as agreed in writing by the Parties) supply to Lonza all Customer Information and Customer Materials, the Cell Line (where applicable), and other information or materials that may be reasonably required by Lonza to perform the Services (collectively, “Customer Property”). Lonza shall not be responsible for any delays arising out of Customer’s failure to provide such Customer Property, and Customer shall be responsible for all additional reasonable and documented costs and expenses arising out of such delay including, if applicable, any […***…]. All Customer Property shall remain the sole property of Customer and is the Confidential Information of Customer to the extent to which such Confidential Information would qualify as Confidential Information of Customer. Lonza shall use the Customer Property solely to perform its obligations under this Agreement and shall not transfer the Customer Property to any Third Party without Customer’s prior written consent. Except as expressly set forth in this Agreement, ALL CUSTOMER PROPERTY IS PROVIDED “AS IS” AND WITHOUT ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR ANY PARTICULAR PURPOSE.

Lonza shall not be responsible for any delays arising out of Customer’s failure to provide such Customer Information, Customer Materials, or other information or materials reasonably required to perform the Services to Lonza, and Customer shall be responsible for all additional costs and expenses arising out of such delay, excluding any idle Facility capacity costs (which the Parties acknowledge is already factored into the monthly suite fees under this Agreement).

Lonza shall not be responsible for any delays arising out of Customer’s failure to provide such Customer Materials, and Customer shall be responsible for all reasonable additional costs and expenses arising out of such delay in accordance with the terms of this Agreement after reasonable attempts to mitigate such costs by Lonza. Customer hereby agrees that any and all: (i) Customer Materials and Customer Information; and/or (ii) Customer Background Intellectual Property and any other information or materials or Intellectual Property; provided to Lonza (or any of its Affiliates) under the 2014 Agreement may be used for the purposes of this Agreement by Lonza and/or its Affiliates.

Customer shall supply to Lonza within a reasonable period all additional Customer Information and Customer Materials and other information or materials in the possession or control of Customer that may be reasonably required by Lonza to perform the Services. Lonza shall not be responsible for any delays arising out of Customer’s failure to provide such Customer Information, Customer Materials, or other information or materials reasonably required to perform the Services to Lonza, and Customer shall be responsible for all additional out-of-pocket costs arising out of such failure, including, if applicable, any idle Facility capacity costs, provided that: (i) Lonza has made diligent efforts to fill such idle capacity; and (ii) Lonza has provided Customer reasonable notice in writing in advance of incurring any idle Facility capacity costs.
