Surrender of Company Property. Upon Executive’s termination of employment for any reason, Executive shall promptly surrender and deliver to the Company all property of the Company and all documents, correspondence and any other information, of any type whatsoever, from the Company or any of its agents, servants, employees, suppliers, and existing or potential customers, that came into Executive’s possession by any means whatsoever, during the course of Executive’s employment.

Surrender of Company Property. Promptly upon termination of Executive's employment by the Company for any reason or no reason, Executive or Executive's personal representative shall return to the Company (a) all Confidential Information (hereinafter defined); (b) all other records, designs, patents, business plans, financial statements, manuals, memoranda, lists, correspondence, reports, records, charts, advertising materials, and other data or property delivered to or compiled by Executive by or on behalf of the Company that pertain to the business of the Company, whether in paper, electronic, or other form; and (c) all keys, credit cards, vehicles, and other property of the Company. Executive hereby agrees that all of the foregoing shall be and remain the property of the Company and be subject at all times to its discretion and control.

Surrender of Company Property. Executive agrees that he will surrender to Employer, no later than the Separation Date, all property belonging to, or purchased with the funds of, Company, and any equipment (including computers and cell phones), employee or security identification or access codes, pass codes, keys, credit cards, swipe cards, client data bases, computer files, Company proposals, computer access codes, documents, memoranda, records, files, letters, specification or other papers (including all copies and other tangible forms of the foregoing) acquired by Executive by reason of his employment with Employer and in Executive’s possession or under his custody or control relating to the operations, business or affairs of Company or its customers. Executive agrees that Executive will not retain any copies, duplicates, reproductions, computer disks, or excerpts thereof of Company documents.

Employee further agrees that after the term of the Consulting Contract he will (i) not remove any property or documents from the premises of the Company, other than his personal property or documents which do not include any information relating to the Company; and (ii) return promptly to the Company any written communications, documents, or other property of any kind which are received by him after the Separation Date and which were sent to him in his capacity as an employee of the Company. Employee shall be entitled to retain Company laptops in his possession. The Employee shall make himself reasonably available to the Company following his Separation Date to assist the Company, as may be reasonably requested by the Company at mutually convenient times and places, with respect to pending and future litigations, arbitrations, governmental investigations or other dispute resolutions relating to matters that arose during the Employee’s employment with the Company, (i) at no cost to the Company during the term of the Consulting Contract and (ii) following the expiration or prior termination of the Consulting Contract, the Company will pay the Employee for such services at a rate of five hundred dollars ($500.00) per hour, in addition to all reasonable expenses and costs he may incur as a result of providing such assistance, upon receipt of proper documentation thereof.
