Survivability of Terms. The terms and provisions of the Company’s and Executive’s obligations or agreements under Sections 4, 5, 6, 7, 9 and 10 to this Agreement shall survive any termination of Executive’s employment under this Agreement and will be construed as agreements independent of any other provisions of this Agreement.

Survivability of Terms. If a court of competent jurisdiction makes a final determination that any provision of this Agreement is invalid, illegal or unenforceable for any reason whatsoever, and all rights to appeal the determination have been exhausted or the period of time during which any appeal of the determination may be perfected has been exhausted: a) The validity, legality and enforceability of the remaining provisions of this Agreement shall not in any way be affected or impaired thereby; and b) To the fullest extent possible, the provisions of this Agreement shall be construed so as to give effect to the intent manifested by the provisions held invalid, illegal or unenforceable.
