System Manager Costs. The “System Manager Costs” shall mean all reasonable and necessary costs incurred by the System Manager to support the RCS, including but not limited to professional services, wages, benefits, insurance, employment related taxes, employers’ retirement contributions, telephone allowances, pagers, education and seminar fees, travel for training, mileage reimbursement, photographic supplies, developing and printing costs, educational materials, books, office supplies, computer supplies, computer software, small tools and minor equipment. All System Manager Costs are, as required in this Agreement, included in each Annual Assessment and RCS Budget. After the first five Fiscal Years following execution of this Agreement, the System Manager Costs are borne by the RCS Parties and Associates, and Xxxxxxxxxx County shall apportion and charge same to the RCS Parties and Associates in accordance with this Agreement.

  • System Monitoring to ensure safe and continuous operation, the Customer must monitor key services and resource use as recommended by Deswik, and provide Deswik with details of monitoring and any relevant alerts as needed. Services to be monitors include, without limitation, disk space, CPU usage, memory usage, database connectivity, and network utilization.

  • Classroom Management The certificated classroom teacher demonstrates in his/her performance a competent level of knowledge and skill in organizing the physical and human elements in the educational setting.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include:

  • Program Management 1.1.01 Implement and operate an Immunization Program as a Responsible Entity

  • Construction Administration Services The Engineer shall perform construction administration services during construction as necessary. Such services shall, as part of the services to be rendered for the Engineer's established fee, include as much of the Engineer's professional services and the services of the Engineer's consultants as the State deems necessary for the well-being of the project and efficient prosecution of the construction work, but shall not include the Engineer's undertaking continuous on-site observation of the work. If the Engineer fails to perform such duties in a conscientious and reasonable manner, the State may exercise its right to terminate this contract as hereinafter provided in Section T. Additionally, it is understood and agreed to by the Engineer and the State that the duties of the Engineer shall include, but not be limited to, the following services:

  • TECHNICAL FEES 1. Technical fees derived from one of the Contracting States by a resident of the other Contracting State who is the beneficial owner thereof and is subject to tax in that other State in respect thereof may be taxed in the first-mentioned Contracting State at a rate not exceeding 10 per cent of the gross amount of the technical fees.

  • Geotechnical Services Engineer will obtain all necessary subsurface investigations, tests, reports, and perform related surveys.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Service Monitoring Customer gives express consent for Vodafone to monitor Customer’s use of the Service (and disclose and otherwise use the information obtained) only to: (a) the extent allowed by Applicable Law; (b) comply with Applicable Law; (c) protect the Network from misuse; (d) protect the integrity of the public internet and/or Vodafone’s systems and Networks; (e) the extent necessary to determine if Customer has breached any conditions or restrictions on use of the Service; (f) provide the Service; and/or (g) take other actions agreed or requested by Customer.
