TBC. In the event of a Change in Control of either of the TBC Partners, ICOS-LP shall [ * ], except (a) all accrued obligations shall survive, (b) the provisions of Sections 2.7, 3.2.3 and 5.3 and Articles 10 and 11 shall survive, (c) the Endothelin License Agreement will not terminate, and (d) Article 6 of the Research and Development Service Agreement shall survive but shall not operate as to any future developments, inventions or discoveries.

If there is any conflict, the following order of precedence applies (in descending order): this Order; the terms and conditions at Appendix 1; and the remaining Appendices (if any) in equal order of precedence.

TBC. TBC shall invoice MOS weekly for the Base Retainer and approved out-of-pocket fees incurred in the prior week. The Base Retainer and any fees which are not subject to a bona fide good faith dispute shall be paid within thirty (30) days of receipt of the invoice. TBC shall invoice MOS monthly for the call center fees incurred in the prior month. Call center fees which are not subject to a bona fide good faith dispute shall be paid within ten (10) business days of receipt of the invoice. All invoiced amounts shall be deemed valid and undisputed unless MOS notifies TBC of a dispute within ten (10) business days from the date of MOS' receipt of the applicable invoice.
TBC. The parties contemplate that TBC shall be responsible for the discovery and origination of Products, the conduct of research outside of the Territory regarding the development of the Products, clinical trials outside of the Territory regarding the Products, and Patent filing, maintenance and prosecution regarding the Products in all geographic areas. Any research and development information generated by TBC's Receptor Antagonist and Selectin Antagonist Programs will be shared without cost to LG Chem.
