TERMINAL OPERATIONS. 29. In furtherance of the purposes of the Liquidation Trust, the Liquidation Trustee shall determine whether the creation of a limited liability company or similar entity in which the Liquidation Trust is at least an 80% owner (“Liquidation Trust-Owned Entity”) is necessary to hold, manage and safeguard some or all of the Liquidation Trust Accounts and the Liquidation Trust Acquired Assets. If created, the Liquidation Trust-Owned Entity shall [own and/or] operate, as appropriate, the terminal operations and other such operations for the benefit of the Liquidation Trust, including all operations under the agreement with Trammo, Inc. (the “Terminal Operations”). The Approval Order shall provide that any liabilities of the Liquidation Trust-Owned Entity shall be satisfied only by assets of the Liquidation Trust-Owned Entity, and creditors of the Liquidation Trust-Owned Entity shall look only to the assets of the Liquidation Trust-Owned Entity for satisfaction of any liabilities thereof. For avoidance of doubt, under no circumstances may any creditor of the Liquidation Trust-Owned Entity access the Liquidation Trust Accounts for satisfaction of any liabilities of the Liquidation Trust-Owned Entity.
TERMINAL OPERATIONS. 8.1 (a) QICT shall provide all management and operating personnel and labor for the Terminal at the appropriate times and of such grades, with such qualifications and experience and in the numbers required for the efficient and smooth operation of a modern container terminal in accordance with Prudent Terminal Practice.
TERMINAL OPERATIONS. Control and operation of the Terminal shall rest exclusively with Willxxxx, xxich shall comply with and provide all certifications required by all federal, state and local laws, rules and regulations applicable to the ownership, control and operation of the Terminal. Customer acknowledges that it is generally familiar with the layout and capabilities of the Terminal, including tanks, pipelines, equipment, dock and other facilities comprising it.
TERMINAL OPERATIONS. Control and operation of the Terminal will rest exclusively with Magellan. Magellan will be an independent contractor with respect to all services it provides under this Agreement. Magellan may suspend operations at the Terminal if Magellan reasonably believes that any person, equipment or the environment is at risk of injury or damage. This Agreement is made as an accommodation to Customer, and in no event will Magellan’s services be deemed to be those of a public utility or common carrier. If any action is taken by a governmental authority to declare Magellan’s services those of a public utility or common carrier, Magellan may by notice to Customer terminate this Agreement on the effective date of such action.
TERMINAL OPERATIONS. Control and operation of the Terminal will rest exclusively with Williams, which will comply with and provide all certifications requxxxx xx Law applicable to the ownership, control and operation of the Terminal. Williams shall be an independent contractor with respect to the perfxxxxxxx of the Services, and Customer shall have no direction or control of Williams or its employees, agents, or other representatives except ix xxx xxsults to be obtained. Customer will have the right to make physical checks of Product in Williams' custody and to observe the performance of the Services proxxxxx xxreunder. However, this right may not be exercised in a manner that interferes with Williams' operation or control of the Terminal.
TERMINAL OPERATIONS. Northwest shall provide or cause to be provided, at Northwest's sole expense, the following functions relating to Jet Services: (a) all passenger and gate check-in activities, including baggage check-in, (b) passenger enplaning/deplaning, (c) aircraft loading/unloading, (d) passenger ticketing, (e) aircraft cleaning between turns and while parked overnight consistent with Northwest's cleaning standards for DC-9 aircraft (unless the Aircraft when parked overnight is subject to maintenance at a Mesaba maintenance base in which event Mesaba shall clean the interior and exterior of the Aircraft in a manner consistent with Northwest's aircraft cleaning standards), (f) aircargo and small package service, (g) ramp and foul weather cleaning and glycol service, (h) the heating and air conditioning of the Aircraft while parked on the ramp, and (i) fuel for the Aircraft and into plane fueling services. Northwest shall use its own equipment to handle Scheduled Flights operated pursuant to this Agreement and shall, at its sole expense, provide sufficient personnel, equipment, gates and ramps for the functions described in this Section 3.02. Northwest shall have the option from time to time to require Mesaba to perform some or all of these services and activities at some or all of the Hub Cities and the Service Cities; provided that, in connection therewith, (i) Northwest shall give Mesaba not less than ninety (90) days' prior written notice as to the services and activities to be performed and the locations thereof; (ii) the period of Mesaba's services shall be not less than one (1) year; (iii) Northwest shall pay Mesaba an amount equal to {CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT}; and (iv) Northwest shall bear the cost of the capital expenditures associated with any equipment required for Mesaba to perform such services.
TERMINAL OPERATIONS. Subject to the other provisions of this Agreement, the control, operation, and maintenance of the Terminal, the Tank and all equipment and facilities provided for in connection herewith shall rest exclusively with KM.
