Termination by Executive for Other than Good Reason. Executive may terminate Executive’s employment hereunder for any reason or no reason upon 60 days’ prior written notice to the Company referring to this Section 4(a); provided, however, that a termination by Executive for “Good Reason” (as defined below) shall not constitute a termination by Executive for other than Good Reason pursuant to this Section 4(a). In the event Executive terminates Executive’s employment for other than Good Reason, Executive shall be entitled only to the following compensation and benefits (the payments set forth in Sections 4(a)(i) – 4(a)(iii), collectively, the “Standard Termination Payments”):
(i) any accrued but unpaid base salary for services rendered by Executive to the date of such termination, payable in accordance with the Company’s regular payroll practices and subject to such deductions or amounts to be withheld as required by applicable law and regulations or as may be agreed to by Executive;
(ii) any vested non-forfeitable amounts owing or accrued at the date of such termination under benefit plans, programs and arrangements set forth or referred to in Section 3(e) in which Executive participated during the Term (which will be paid under the terms and conditions of such plans, programs, and arrangements (and agreements and documents thereunder)); and
(iii) reasonable business expenses and disbursements incurred by Executive prior to such termination will be reimbursed in accordance with Section 3(d).
Termination by Executive for Other than Good Reason. Executive may terminate his employment hereunder for any reason or no reason upon thirty (30) days' prior written notice to the Company referring to this Section 6(f); provided, however, that a termination of Executive's employment by reason of death, Total Disability, Normal or Early Retirement, or Good Reason shall not constitute a termination by Executive for other than Good Reason pursuant to this Section 6(f).
Termination by Executive for Other than Good Reason. Executive may terminate his/her employment under this Agreement other than for Good Reason upon 30 days' advance written notice to the Company.
Termination by Executive for Other than Good Reason. In the event Executive terminates his employment for other than Good Reason, Executive shall be entitled to receive the Accrued Rights, but following the Termination Date, Executive shall have no further rights to any other compensation or benefits under this Agreement, including without limitation any severance or continuation of benefits or otherwise. Executive shall provide the Company sixty (60) days’ prior written notice of his intention to terminate his employment with the Company pursuant to this Section 5.2.
Termination by Executive for Other than Good Reason. If the Executive terminates employment for Other than Good Reason, the Company’s obligations to the Executive shall be the same as provided in Section 4(d) for a Termination With Cause.
Termination by Executive for Other than Good Reason. In the event Executive terminates his employment for other than Good Reason, all of Executive's rights to his Base Salary, Benefits and Bonus, if any, shall immediately terminate as of the date of termination, except that Executive shall be entitled to any earned and unpaid portion of his Base Salary and accrued Benefits up to the date of termination. Company shall have no further obligations to Executive under the Agreement.
Termination by Executive for Other than Good Reason. If Executive shall desire to terminate his employment hereunder for other than Good Reason, he shall first give Company not less than ninety (90) days prior written notice of termination. Upon a termination of Executive's employment with Company under this Section 6(e), the effective date of termination shall be the date set forth in executive's resignation notice (assuming such date is in compliance with the notice provisions of this Section 6(e)) or an earlier date after Company's receipt of such notice as determined by Company, in its sole discretion, but not earlier than the date on which Company learned of Executive's decision to terminate his employment for other than Good Reason.
Termination by Executive for Other than Good Reason. In the event Executive terminates his employment for other than Good Reason, this Agreement shall terminate and the Company's obligations to Executive under this Agreement shall be limited to his (a) Prorated Salary; (b) Earned Incentive Compensation; (c) Accrued PTO; (d) Reimbursable Expenses; and (e)
Termination by Executive for Other than Good Reason. In the event Executive terminates his employment and the Term for other than Good Reason, Executive shall be entitled to receive the Accrued Rights.
Termination by Executive for Other than Good Reason. Executive may terminate his employment at any time for any reason other than Good Reason upon 30 days' prior written notice to the Company. Upon Executive's termination of his employment hereunder, this Agreement (other than Sections 8, 9, and 10, which shall survive) shall terminate immediately. In such event, Executive shall be entitled to receive such portion of Executive's annual salary as has been accrued to date. Executive shall be entitled to reimbursement of expenses pursuant to Section 5(f) hereof and to participate in the Company's benefit plans to the extent participation by former employees is required by law or permitted by such plans, with the expense of such participation to be as specified in such plans for former employees.
