Termination of Software License. The license in Section 1.1 and End User’s rights to use the Software will terminate immediately inthe event that End User returns the Product to Pavilion as provided herein or in theevent that End User materially breaches any provision of this Agreement. Upon termination, End User shall promptly discontinue all use of the Software and Sections 2, 3.2,4.4, 6, 7, and9willsurvive.
Termination of Software License. EDS may terminate any License for any ------------------------------- reason by providing written notice to Chordiant. If EDS elects to so terminate a License, or if a License is terminated pursuant to 7.1 or 7.3 above, EDS shall return to Chordiant or, at EDS' option, destroy, all copies of the Licensed Software and Documentation in EDS' possession which are the subject of the terminated License, and an authorized representative of EDS shall certify such return or destruction. In the event EDS terminates a License, Chordiant shall credit to EDS a prorated amount of any prepaid charges for support Services for the Licensed Software.
Termination of Software License. ExxonMobil, at its sole option, may terminate the Software License, the Developer's Kit Software License, and associated Software support pursuant to Section 5.01 at the end of the * of the Software License Term upon * prior written notice to Symyx. If ExxonMobil exercises the foregoing right, then (a) no further payments shall be due under Sections 8.02 and 8.03, (b) Symyx shall refund to ExxonMobil advance payments, if any, made by ExxonMobil under Sections 8.02 and 8.03 which relate only to the terminated portion of the Software License Term, and (c) ExxonMobil and its Majority Owned Affiliates shall immediately discontinue all use of the Software, the Developer's Kit Software, and all Software Customizations, remove the Software, the Developer's Kit Software and all Software Customizations from all workstations, and deliver to Symyx all portions and copies of the Software, the Developer's Kit Software and any Software documentation provided by Symyx that may be in their possession (provided that the foregoing shall not affect the licenses granted pursuant to Section 7.06).
Termination of Software License. EDS may terminate any License for any reason by providing written notice to Network-1. If EDS elects to so terminate a License, EDS shall return to Network-1 or, at EDS' option, destroy, all copies of the Licensed Software and Documentation in EDS' possession which are the subject of the terminated License, except as may be necessary for archival purposes.
Termination of Software License. Any software license may be terminated by and End User for any reason by providing to SUPPLIER sixty (60) days' prior written notice. In the event of any such termination or in the event of a termination of a software license. End User shall return to EDS or SUPPLIER or, at End User's option, destroy, all copies of the Licensed Software and Documentation in the End User's possession relating to the terminated software license, except as may be necessary for archival purposes. In addition, a canceling End User must return at the End User's expense all "Dongels" (encryption devices) to EDS or SUPPLIER.

If EDS elects to so terminate a License, EDS shall return to Anacomp or, at EDS' option, destroy, all copies of the Licensed Software and Documentation in EDS' possession which are the subject of the terminated License, except as may be necessary for archival purposes. In such event, Anacomp shall refund to EDS a prorated amount of any prepaid charges for support Services for the Licensed Software.
Termination of Software License. Client may terminate the license granted hereunder upon 30 days written notice to MCM, provided, however, that Client shall not be relieved from making payments to MCM for all amounts due hereunder, including payment in full for the Software, Maintenance through the current term, and all Services as set forth in the Attachments, unless MCM commits a default as defined in Section 8.1.
Termination of Software License. Datacard reserves the right to terminate any Software License for failure to pay any applicable license fees or upon the breach by Customer of any of the terms of the License. In the event of termination or expiration of a Software License, Customer shall immediately cease to use, shall uninstall and shall destroy any and all copies of the Software and shall provide to Datacard upon Datacard’s request a Certificate of Removal and Destruction of the Software in a form acceptable to Datacard.
Termination of Software License. When the GSA Customer is an instrumentality of the U.S. Government, recourse against the United States for any alleged breach of this Agreement must be made as a dispute under the contract disputes clause (Contract Disputes Act) or under the terms of the Federal Tort Claims Act, as applicable. During any dispute under the disputes clause, Pure shall proceed diligently with performance of this Agreement, pending final resolution of any request for relief, claim, appeal, or action arising under this Agreement, and comply with any decision of the Contracting Officer.
