Termination With Cause or Without Good Reason. In the event that Executive’s employment is terminated by the Employer with Cause or by Executive without Good Reason, the Employer shall pay all Accrued Obligations to Executive in a lump sum in cash within twenty (20) days after the Termination Date or on such earlier date required by applicable law. “Accrued Obligations” means the sum of (a) Executive’s Base Pay hereunder through the Termination Date to the extent not theretofore paid, (b) the amount of any accrued but unused vacation pay, (c) any business expense reimbursements incurred by Executive as of the Termination Date and submitted for reimbursement, and (d) any performance bonus or discretionary bonus under Section 2.1 that has been earned or declared for a bonus period ending before the Termination Date but not paid before the Termination Date, in each case, consistent with the policy for such reimbursements, within ten (10) days following the Termination Date.

Termination With Cause or Without Good Reason. If, at any time during the Term of Employment, Viewpoint terminates Executive’s employment with Cause, or if Executive terminates his employment with Viewpoint without Good Reason, Viewpoint will have no obligation to make any payments to Executive under this Agreement, and the unvested portion of the Option and all other options, if any, granted to Executive at any time before such termination will be forfeited and will not vest and will not be exercisable at any time by Executive.

Termination With Cause or Without Good Reason. If the Company exercises its right to terminate the Employment Period with Cause or if Executive exercises his right to terminate the Employment Period without good reason, the Company shall be obligated to pay Executive (a) any salary that was accrued but not yet paid as of the Effective Termination Date; and (b) the unpaid Performance Bonus, if any, with respect to the calendar year preceding the Effective Termination Date (such Performance Bonus, if any, to be determined in the manner it would have been determined and payable at the time it would have been payable under Section III(C) had there been no termination of the Employment Period).
Termination With Cause or Without Good Reason. If the Company terminates Executive’s employment with Cause, if Executive dies or is disabled (as defined above), or if Executive resigns without Good Reason, the Company’s obligations to pay any compensation or benefits under this Agreement will cease effective as of the Termination Date and the Company shall pay to Executive the Accrued Obligations within thirty (30) days following the Termination Date. The Company will pay to Executive his Annual Base Salary for periods following his separation from service, to the extent not theretofore paid, within thirty (30) days following his separation from service if he is not a specified employee or on the date that is six months following his separation from service if he is a specified employee. Following such payments, the Company shall have no further obligations to Executive other than as may be required by law or the terms of an employee benefit plan of the Company.

Executive shall not be entitled to any other bonuses. Executive's additional benefits specified in Section 2 shall terminate at the time of such termination.

Executive shall not be entitled to any other bonuses. Executive's additional benefits specified in Section 2 shall terminate at the time of such termination and the entire outstanding balance (principal and interest) of any loans from the Company to Executive shall be due and owing on date of such termination. Any amounts owed by Executive to the Company hereunder shall be set off against any amounts payable from the Company to the Executive.
