TERMS APPLYING TO ASI-NORTH OPERATIONAL SUPPORT SYSTEMS. CLEC Responsibilities. When available, CLEC shall utilize ASI-North’s electronic interfaces, as described throughout this Agreement, only for the purposes of establishing and maintaining Resale Services through ASI-North’s Security Guidelines and OSS Policies detailed in this Agreement. Failure to comply with such Security Guidelines and OSS Policies may result in forfeiture of electronic access to OSS functionality. CLEC shall be responsible for and indemnifies ASI-North against any cost, expense or liability relating to any unauthorized entry or access into, or use or manipulation of ASI-North’s OSS from CLEC systems, workstations or terminals or by CLEC employees or agents or any third party gaining access through information and/or facilities obtained from or utilized by CLEC and shall pay ASI-North for any and all damages caused by such unauthorized entry. CLEC’s access to ASI-North’s OSS will only be utilized to view Customer Proprietary Network Information (“CPNI”) of another carrier’s Customer where CLEC has obtained an authorization for release of CPNI from the Customer and has obtained an authorization to become the Customer’s service provider. The authorization for release of CPNI must comply with all applicable state and federal statutes, rules, and regulations. CLEC is solely responsible for determining whether proper authorization has been obtained and holds ASI-North harmless from any loss caused by CLEC’s failure to obtain proper CPNI consent from Customer. CLEC is responsible for all actions of its employees using any of ASI-North’s OSS systems. CLEC agrees to pay all reasonable costs and expenses, including labor costs, incurred by ASI-North as a result of any and all inaccurate ordering or usage of the OSS, if such costs are not already recovered through other charges assessed by ASI-North to CLEC. CLEC shall indemnify and hold ASI-North harmless against any claim made by a Customer of CLEC or other third parties against ASI-North caused by or related to CLEC’s use of any ASI-North OSS. ASI-North retains the right to audit all activities by CLEC using any ASI-North OSS. All such information obtained through an audit shall be deemed proprietary and shall be covered by the Parties Non-Disclosure Agreement signed in conjunction with the execution of this Agreement.

The requirements of Section 6002 include procuring only items designated in guidelines of the Environmental Protection Agency (EPA) at 40 CFR part 247 that contain the highest percentage of recovered materials practicable, consistent with maintaining a satisfactory level of competition, where the purchase price of the item exceeds $10,000 or the value of the quantity acquired during the preceding fiscal year exceeded $10,000; procuring solid waste management services in a manner that maximizes energy and resource recovery; and establishing an affirmative procurement program for procurement of recovered materials identified in the EPA guidelines.   • Operations Support Systems Functions 9.1 Effective as of February 8, 2021, notwithstanding any other term or condition of the Amended Agreement or a Verizon tariff or SGAT, and subject to the transitional provisions set forth in Subsection 9.2 below, unbundled access to Operations Support Systems Functions will not be available from Verizon on or after February 8, 2021, except when such functions are used to manage other UNEs that remain available from Verizon, local interconnection, or local number portability. 9.2 Any unbundled access to Operations Support System Functions eliminated pursuant to Section 9.1 above will continue to be provisioned for the period in which unbundled access is available to the UNE managed through the use of such functions, but not after such period.

  • Operational Support 2.1 Party A agrees, according to the operational needs of Party B, to act as the guarantor of Party B in the contracts, agreements, or transactions entered into between Party B and third parties, in order to fully guarantee the performance by Party B of such contracts, agreements, and transactions. 2.2 Party A agrees, according to the operational needs Party B, to recommend directors and senior management to Party B and Party B agrees to appoint such personnel recommended by Party A to be its directors and senior management. The relevant personnel recommended by Party A pursuant to this Article shall meet the qualification requirements for directors and senior management under applicable laws. 2.3 To ensure the performance of this Agreement, Party A agrees to provide to Party B cooperative policy advice and guidance, which is consistent with the daily operation and financial management and the employment policy of Party B.

  • Minimum Customer Support Requirements for TIPS Sales Vendor shall provide timely and commercially reasonable support for TIPS Sales or as agreed to in the applicable Supplemental Agreement.

  • Communications Relating to Portfolio Securities Subject to the provisions of Section 2.3, the Custodian shall transmit promptly to the Fund for each Portfolio all written information (including, without limitation, pendency of calls and maturities of domestic securities and expirations of rights in connection therewith and notices of exercise of call and put options written by the Fund on behalf of the Portfolio and the maturity of futures contracts purchased or sold by the Portfolio) received by the Custodian from issuers of the securities being held for the Portfolio. With respect to tender or exchange offers, the Custodian shall transmit promptly to the Portfolio all written information received by the Custodian from issuers of the securities whose tender or exchange is sought and from the party (or his agents) making the tender or exchange offer. If the Portfolio desires to take action with respect to any tender offer, exchange offer or any other similar transaction, the Portfolio shall notify the Custodian at least three business days prior to the date on which the Custodian is to take such action.
