Terms Confidential. Reseller agrees that all of the terms and conditions of this Third Amendment are Confidential Information between Reseller and SFDC, and may not be disclosed by Reseller or SFDC to any third party.

Notwithstanding the foregoing prohibition, (a) the Parties shall not be prohibited from disclosing the terms, amounts and facts of this Agreement or this Agreement itself as may be requested by governmental entities or as may be required by law, including any Federal or state securities laws or regulations, (b) AutoMD shall not be prohibited from disclosing the terms, amounts and facts of this Agreement or this Agreement itself as may be requested by any person or entity with whom AutoMD is engaged in discussions with concerning any investment in AutoMD or any financing, recapitalization, reorganization, or sale of the capital stock of AutoMD (or any rights thereto) or all or substantially all of the assets of AutoMD and (c) USAP shall not be prohibited from disclosing the terms, amounts and facts of this Agreement or this Agreement itself as may be requested by any person or entity with whom USAP is engaged in discussions with concerning any investment in USAP or any financing, recapitalization, reorganization, or sale of the capital stock of AutoMD (or any rights thereto) or all or substantially all of the assets of USAP.
Terms Confidential. IFS and Phoenix shall hold in confidence the terms of compensation set forth herein, and neither party hereto shall disclose such terms to any other person or entity without the prior consent of the other, or as may be required to comply with the Securities and Exchange Commission reporting requirements.

The Seller will at all times before and after the Closing Date and, if the transactions contemplated by this Agreement are not consummated, at all times hereafter, keep confidential all non-public, confidential, and/or proprietary information furnished to it by the Buyer in connection with this Agreement and the transactions contemplated hereby, and will not disclose such non-public, confidential, and/or proprietary information to third Parties without the prior written consent of the Buyer except to the extent that (i) the Seller is legally compelled (by deposition, interrogatory, request for documents, subpoena, civil investigation, demand, order of court, or legal process) to disclose such information, (ii) the information otherwise becomes known to third Parties not bound by the terms of this confidentiality provision, (iii) the information may be disclosed to the accountants, advisers, agents, attorneys, consultants, directors, employees, and other representatives of the Seller, and (iv) the information may be disclosed to Governmental Agencies and third parties from whom consents to the transactions contemplated by this Agreement are deemed by the Buyer to be desirable or necessary.
Terms Confidential. Each Party hereby acknowledges and agrees that it will not disclose the terms of the Agreement or this Amendment or any other information relating to the subject matter hereof or thereof to any third party without the express written consent of the other Party, except that (i) either Party may use the text of a written statement approved in advance by both Parties without further approval, (ii) Xxxxx may disclose the terms of the Agreement and this Agreement to a potential or current Sublicensee, and (iii) either Party shall have the right, following written notice to the other Party, to identify the other Party and to disclose the terms of this Agreement as required by applicable securities laws or other applicable laws or regulations.
