THE AGENT AGREES. 2.1 To accept the management of the Premises, to the extent, for the period, and upon the terms herein provided and agrees to furnish the services of its organization for the rental operation and management of the Premises.
2.2 To prepare a monthly statement of receipts and disbursements and to remit, on a monthly basis, the net cash flow generated by the Premises after payment of all operating expenses, debt service and escrow payments if applicable, to the following party: Nooney Realty Trust, Ixx. c/o David L. Johnson X.X. Box 26730 Kansas City, Missouri 64196 In the event total monthly disbursements are in excess of total monthly receipts, the Owner shall promptly provide funds to cover such shortfalls. Nothing contained herein shall obligate the Agent to advance its own funds on behalf of the Owner to cover any shortfalls.
2.3 To cause all employees of the Agent who handle or are responsible for the safekeeping of any monies of the Owner to be covered by a fidelity bond in an amount and with a company determined by the Agent.

THE AGENT AGREES. To manage the property and to use its best skills and efforts to supervise the operation and maintenance of the premises and to furnish the services described herein. • To inform the owner of circumstances reasonably requiring the owner’s attention is not the agent’s responsibility. • To deliver to the owner a monthly accounting statement of all receipts and disbursements associated with the property. Accounting statements will be completed no later than the tenth (10th) day of each calendar month for the prior month's activity unless prior arrangements have been made with owners. • To remit to the Owner each month the net proceeds received from the property on or before the tenth (10th) of each month for the prior month’s activity with a detailed monthly accounting statement. Electronic transfers can take between 3-5 days. • To handle rents and reserves in a client's trust account in the agent’s name for the owner's benefit. Any interest earned on the trust account will accrue to the agent, not the owner. • If the disbursements and charges shall be more than the receipts, the owner agrees to pay such excess sums within fifteen (15) days after notification from the agent. Nothing herein shall obligate the agent to advance its funds to cover the owner’s expenses. If there are insufficient funds to cover all monthly costs, the agent will notify the owner immediately to discuss the account and decide how to cover the insufficient funds. • Actions guaranteed as part of the agreement are listed below. Excessive needs of the owners or tenants above and beyond the basic scope of duties listed below are subject to additional management fee charges as discussed in section Compensation and Fees.

Nothing contained herein shall obligate the Agent to advance its own funds on behalf of the Owner to cover any shortfalls.
2.3 To cause all employees of the Agent who handle or are responsible for the safekeeping of any monies of the Owner to be covered by a fidelity bond in an amount and with a company determined by the Agent.
THE AGENT AGREES. 1. To select and assign on the behalf of the Owner a Home Manager to maintain said premise according to the terms of Article III.
2. To use due diligence in selecting and screening of the Home Manager.
3. To indemnify (hold harmless) Owner for any loss resulting from failure to perform or negligence of Agent and/or Home Manager.
THE AGENT AGREES a. not to carry out any activity on behalf of the College or University, other than activities specified in Clause 3, without prior consultation with and written approval of the relevant University or College nominee;
b. that it may only carry out the activities specified in
c. that it has no authority to bind the University or College in contract or otherwise at law, and must not represent that it has;
d. that nothing in this Agreement constitutes a relationship of employer and employee or partnership between the University or the College and the Agent; and
e. that it must take all action reasonably required by the University or the College so that the public is notified of the nature and limits of the relationship between the University or the College and the Agent.
THE AGENT AGREES. 4.1.1. to carry out all obligations under this Agreement in a professional manner and with due care and skill, and to ensure that its staff involved in recruiting Students are suitably skilled and trained in counselling of Students to study in Australia;
4.1.2. to act honestly and in good faith in all dealings with Prospective Students, applicants, IIBT and any third parties in the course of carrying out its obligations under this Agreement;
4.1.3. to ensure that at all times the information it provides is accurate, complete and not misleading.
4.1.4. to comply with the provisions of the Australia ESOS Act (2000) and the National Code 2018.

Nothing contained herein shall obligate the Agent to advance its own funds on behalf of the Owner to cover any shortfalls.
