The Buyer’s Obligation. The obligation of the Buyer to purchase the Shares from the Seller is subject to the satisfaction (or waiver by the Buyer) as of the Closing of the following conditions:

The Buyer’s Obligation. At such time as the Buyer shall have paid the Parent $3,500,000 consisting of the First and Second Payments, the Buyer shall, subject to the Parent obtaining approval of its stockholders as provided in Section 4.2 of this Agreement, be obligated to purchase the Assets from TSA. As used in this Agreement, the term "Assets" means all of the personal property owed by TSA including tangible and intangible property used in or related to the business of TSA excluding only the Excluded Assets, as defined in Section 5.2 of this Agreement.
