The Solicitor Compensation. For the solicitation services provided by the Solicitor, the Adviser will pay to the Solicitor, for as long as the Solicited Client remains a client of the Adviser, 40 basis points of all investment advisory fees received by the Adviser from the Solicited Client (the “Referral Fee”). This assumes a client fee of if that fee is discounted then the solicitor’s compensation will also decrease proportionally. The Referral Fee will be paid within thirty (30) days of the end of the quarter in which the advisory fees are received by the Adviser. The Adviser will provide the Solicitor with a detailed accounting listing all Solicited Clients and the corresponding billing amount. Compensation will not be paid to the Solicitor in the event any such payment would constitute a violation of applicable Federal or state law.
