Theater Performance. T-26492.002\1086141 -13- 133\1100388.5 (i) This category of Performance Measure is assigned a Weighted Percentage of 10% and will measure both "activation" of the Theaters and overall "utilization" of the Theaters. Activation of the Theaters will be measured by the extent to which TSJ maintains or increases use of the Theaters with respect to “Performances,” and utilization of the Theaters will be measured by the extent to which the TSJ maintains or increases the use of the Theaters with respect to “Special Events” during the Fiscal Year. (ii) In assessing activation and utilization, it is agreed that the number of Performances and Special Events will be measured against, and as a percentage of, Available Use Days (defined as calendar days during the Fiscal Year that are both available and suitable for booking of Performances and Special Events), it being understood and agreed that all calendar days are not necessarily marketable for performance of public or private events. TSJ and City shall determine the number of Available Use Days for an upcoming Fiscal Year during the budget process, and shall adjust Available Use Days during the year based on circumstances. For example, and without limitation, if a Facility is damaged due to an unforeseen event and is, as a consequence, temporarily not available for Performances and/or Special Events, then the number of Available Use Days for that Facility will be reduced by the number of days that the Facility is unavailable during the period of repair. (iii) For purposes of measuring activation of the Theaters and satisfaction of the Theater Performance category of Performance Measures, if a Resident Arts Partner or Bay Area Non-Profit reserves the use of a Theater and subsequently cancels one or more days of reserved use within ninety (90) days prior to the scheduled event, then the number of days reserved to such use will be treated as if they were actually used. (iv) For purposes of this Agreement, “Performances” means and includes, without limitation, scheduled dances, theatrical, sports, musical, comedy, speaker series, or other cultural performances or events that are generally available for general public attendance, whether or not tickets are issued with respect thereto. For the further purposes of this Agreement, “Special Events” means private events that are not open to the general public. “Performances” shall be weighted at 5%, representing one-half of the total theater Performance weighted measure of 10...

Activation of the Theaters will be measured by the extent to which Operator maintains or increases use of the Theaters on "Performance Days," and utilization of the Theaters will be measured by the extent to which the Theaters have "Occupied Days" during the Fiscal Year. For purposes of this Agreement, "Performance Days" means all days that City and Operator mutually agree (in connection with the approval of the Annual Budget) are both available and suitable for performance of a scheduled theatrical, musical or cultural performance or event (it being understood and agreed that all days that are "available" are not necessarily marketable for performance of public ticketed events). "Performance Days" shall be weighted at 7% of the total Theater Performance weighted measure of 10%. "Occupied Days" means all days that a Theater is utilized under contract and not available for booking for other events. "Occupied Days" shall be weighted at 3% of the total Theater Performance weighted measure of 10%.

Measuring activation of the Theaters, each will measure the subject Theater’s performance during the previous year based on both “Performance Days” and “Occupied Days.” For purposes of this Agreement, “Performance Days” means all days that City and Operator mutually agree (in connection with the approval of the Annual Budget) are both available and suitable for performance of a scheduled theatrical, musical or cultural performance or event (it being understood and agreed that all days that are “available” are not necessarily marketable for performance of public ticketed events). “Performance Days” shall be weighted at 7% of the total Theater Performance weighted measure of 10%. “Occupied Days” means all days that a Theater is utilized under contract and not available for booking for other events. “Occupied Days” shall be weighted at 3% of the total Theater Performance weighted measure of 10%

  • Work Performance Xxxxxx agrees that all Services performed hereunder shall be performed on a best effort basis by employees, students, faculty, graduate assistants and staff having an appropriate experience and skill level and in compliance with the statement of work.

  • Excused Performance 6.1 Notwithstanding the occurrence of a Force Majeure Event, in which case Clause 17 will govern, BT will not be liable for any failure or delay to perform any of its obligations under this Agreement (including any of its obligations to meet any Service Levels) to the extent that BT’s failure or delay in performing arises as a result of: 6.1.1 any failure or delay by the Customer to perform any of the Customer’s obligations under this Agreement; 6.1.2 any act or omission other than on the part of a BT Affiliate or a subcontractor or supplier appointed by it unless that BT Affiliate, subcontractor or supplier has invoked their force majeure rights under their contract with BT; or 6.1.3 Applicable Law, a court order, an application for interlocutory relief or injunction restricting or preventing BT from supplying a Service.

  • Contract Performance C19.1 The Contractor shall ensure that: C19.1.1 the Goods conform in all respects with the Specification and, where applicable, with any sample or performance demonstration approved by the Authority; C19.1.2 the Goods operate in accordance with the relevant technical specifications and correspond with the requirements of the Specification and any particulars specified in the Contract; C19.1.3 the Goods conform in all respects with all applicable Laws; and C19.1.4 the Goods are free from defects in design, materials and workmanship and are fit and sufficient for all the purposes for which such Goods are ordinarily used and for any particular purpose made known to the Contractor by the Authority.

  • Continuing Performance (a) The obligations under this Agreement continue until satisfied in full and do not merge with any action performed or document executed by any Party for the purposes of performance of this Agreement. (b) Any representation in this Agreement survives the execution of any document for the purposes of, and continues after, performance of this Agreement. (c) Any indemnity given by any Party under this Agreement: (i) constitutes a liability of that Party separate and independent from any other liability of that Party under this Agreement or any other agreement; and (ii) survives and continues after performance of this Agreement.

  • School Performance The School shall achieve an accountability designation of Good Standing or Honor on each of the three sections of the Performance Framework. In the event the School is a party to a third party management contract which includes a deficit protection clause, the School shall be exempt from some or all measures within the financial portion of the Performance Framework. In accordance with Charter School Law, the Authorizer shall renew any charter in which the public charter school met all of the terms of its performance certificate at the time of renewal.

  • Strict Performance Failure by any party to this Contract to insist in any one or more cases upon the strict performance of any of the terms, covenants, conditions, or provisions of this Contract shall not be construed as a waiver or relinquishment of any such term, covenant, condition, or provision. No term or condition of this Contract shall be held to be waived, modified, or deleted except by a written amendment signed by the parties hereto.

  • Lawful Performance Vendor shall abide by all Federal, State and Local Laws, Ordinances, Regulations, and Statutes as may be related to the performance of duties under this agreement. In addition, all applicable permits and licenses required shall be obtained by the vendor, at vendor’s sole expense.

  • Product Performance Contractor hereby warrants and represents that the Products acquired by the Authorized User under the terms and conditions of this Contract conform to the specifications, performance standards and documentation in the Authorized User Agreement., and the documentation fully describes the proper procedure for using the Products. Contractor further warrants and represents that if the Products acquired by the Authorized User pursuant to an Authorized User Agreement under this Contract include software application development, software application customization, software programming, software integration or similar items (“Software Deliverables”) then such Software Deliverables shall be free from defects in material and workmanship and conform with all requirements of the Contract and Authorized User Agreement for the warranty period of one (1) year from the date of acceptance of the completed project (“Project warranty period”). Contractor also warrants that the Products, in the form provided to the Authorized User, do not infringe any copyright, trademark, trade secret or other right of any third party.

  • Past Performance The Government will evaluate the contractor's performance on the NETCENTS-2 Orders provided in Exhibit B, CDRL B001. The PCO will determine the quality of the work performed based on an integrated assessment of data obtained in the Contractor Performance Assessment Reporting Systems (CPARS) and information obtained from Defense Contract Management Agency (DCMA) channels, interviews with customers, program managers and/or contracting officers for NETCENTS-2 task orders. Based on the contractor performance records above, the PCO will determine if there is an expectation that the contractor will successfully perform the required efforts under the unrestricted NetOps and Infrastructure Solutions contract.

  • Non-Performance The obligation of ECOLOGY to the RECIPIENT is contingent upon satisfactory performance by the RECIPIENT of all of its obligations under this Agreement. In the event the RECIPIENT unjustifiably fails, in the opinion of ECOLOGY, to perform any obligation required of it by this Agreement, ECOLOGY may refuse to pay any further funds, terminate in whole or in part this Agreement, and exercise any other rights under this Agreement. Despite the above, the RECIPIENT shall not be relieved of any liability to ECOLOGY for damages sustained by ECOLOGY and the State of Washington because of any breach of this Agreement by the RECIPIENT. ECOLOGY may withhold payments for the purpose of setoff until such time as the exact amount of damages due ECOLOGY from the RECIPIENT is determined.
